Ces Conditions de service relatives aux paiements pour les utilisateurs européens (« Conditions de paiement ») constituent un accord légalement contraignant entre vous et Airbnb Payments qui régit les Services de paiement (définis ci-dessous) effectués par ou en relation avec la Plate-forme Airbnb. Lorsque ces Conditions de paiement mentionnent « Airbnb Payments », « nous », « nos » ou « notre », il s'agit d'une référence à :

• Airbnb Payments Luxembourg S.A. (« Airbnb Payment Luxembourg ») si votre pays de résidence se trouve dans l'EEE.
• Airbnb Payments UK Ltd. (« Airbnb Payments UK ») si votre pays de résidence se trouve au Royaume-Uni ou en Suisse.

Airbnb Payments fournit des services de paiement aux Membres qui publient, proposent et réservent des Hébergements, des Expériences ou d'autres Services d'hôte, y compris des services en relation avec le programme Open Homes et d'autres services actuels et futurs fournis par le biais de la Plate-forme Airbnb. Ces services de paiement peuvent comprendre (s'ils sont disponibles) les éléments suivants (collectivement, les « Services de paiement ») :

• La collecte des paiements des Voyageurs (« Paiement »), en appliquant le mode de paiement associé à leur compte Airbnb, comme une carte de crédit, une carte de débit, un compte bancaire ou un compte PayPal (« Mode de paiement »).
• Des paiements aux Hôtes (« Versement ») vers un instrument financier associé à leur compte Airbnb, tel qu'un compte PayPal, un compte bancaire, un dépôt direct, une carte prépayée ou une carte de débit (« Mode de versement »).
• Les paiements vers un Mode de versement tiers désigné par un Hôte.
• La collecte et le paiement de dons de bienfaisance.
• Les services de collecte des paiements.
• D'autres services de paiement en rapport avec les Services d'hôte.

Afin d'utiliser les Services de paiement, vous devez être âgé d'au moins 18 ans, avoir un compte Airbnb en règle conformément aux Conditions de service d' Airbnb (« Conditions »), et veiller à ce que vos informations de paiement et personnelles soient exactes et complètes.

Si vous changez de pays de résidence, la société Airbnb avec laquelle vous avez conclu un contrat et la version applicable des Conditions de paiement seront déterminées par votre nouveau pays de résidence à partir de la date à laquelle votre pays de résidence change. Toutefois, veuillez noter que votre société contractante Airbnb Payments restera la même pour toutes les réservations effectuées avant votre changement de pays de résidence.

Les Conditions de service régissent séparément votre utilisation de la Plate-forme Airbnb. Si un terme n'est pas défini dans les présentes Conditions de paiement, il a la même définition que dans les Conditions de service.

1. Votre utilisation des Services de paiement

1.1 Services de paiement Airbnb. En utilisant les Services de paiement, vous acceptez de vous conformer aux présentes Conditions de paiement. Airbnb Payments peut limiter ou suspendre temporairement votre accès aux Services de paiement ou à ses fonctionnalités et votre utilisation, afin d'effectuer des mesures de maintenance qui assurent le bon fonctionnement des Services de paiement. Airbnb Payments peut améliorer et modifier les Services de paiement et introduire de nouveaux Services de paiement à tout moment. Airbnb Payments informera les Membres de toute modification des Services de paiement sauf si ces modifications ne renforcent pas matériellement les obligations contractuelles des Membres ou diminuent les droits des Membres conformément aux présentes Conditions de paiement.

1.2 Services de tiers. Les Services de paiement peuvent contenir des liens vers des sites web ou des ressources fournies par des tiers (« Services de tiers »). Ces Services de tiers sont soumis à des conditions générales et des politiques de confidentialité différentes, et les Membres doivent les vérifier. Airbnb Payments n'est pas responsable de l'utilisation de ces Services de tiers. Les liens vers lesdits services de tiers ne constituent pas une approbation desdits services de tiers par Airbnb Payments.

1.3 Votre compte Airbnb. Airbnb Payments peut offrir des fonctionnalités qui vous permettent d'autoriser d'autres Membres ou des tiers à effectuer certaines actions ayant une incidence sur votre compte Airbnb. Vous pouvez autoriser un tiers à utiliser votre compte Airbnb si la fonctionnalité est activée pour votre compte Airbnb. Vous reconnaissez et acceptez que toute personne que vous autorisez à utiliser votre compte Airbnb peut utiliser les Services de paiement en votre nom et que vous serez responsable de tous paiements effectués par ladite personne. Si vous résidez dans l'EEE et que vous concluez un contrat avec Airbnb Payments Luxembourg, cet article 1.3 ne vous concerne pas.

1.4 Vérification. Vous autorisez Airbnb Payments, directement ou par l'intermédiaire de tiers, à effectuer toute enquête que nous jugeons nécessaire pour vérifier votre identité et les informations que vous fournissez. Il peut s'agir (i) de vous comparer à des bases de données de tiers ou à d'autres sources, (ii) de demander des rapports à des prestataires de services, (iii) de vous demander de fournir une pièce d'identité officielle (par exemple, un permis de conduire ou un passeport), votre date de naissance, votre adresse et d'autres informations, ou (iv) de vous demander de prendre des mesures pour confirmer que vous êtes bien titulaire de votre e-mail, de vos Modes de paiement ou de vos Modes de versement. Airbnb Payments se réserve le droit de résilier, suspendre ou limiter l'accès aux Services de paiement dans le cas où nous ne serions pas en mesure d'obtenir ou de vérifier l'une quelconque de ces informations.

1.5 Conditions supplémentaires. Votre accès à certains Services de paiement ou votre utilisation de ceux-ci peuvent être soumis à des conditions supplémentaires ou nécessiter que vous les acceptiez. En cas de conflit entre les présentes Conditions de paiement et les conditions applicables à un Service de paiement spécifique, ces dernières conditions prévaudront quant à votre utilisation de ce Service de paiement ou votre accès à celui-ci, sauf autrement spécifié.

2. Conditions générales des Voyageurs

2.1 Ajout d'un Mode de paiement. Lorsque vous ajoutez un Mode de paiement à votre compte Airbnb, il vous sera demandé de fournir les informations de facturation, telles que nom, adresse de facturation et les informations relatives à votre instrument financier soit à Airbnb Payments soit à son ou ses prestataire(s) de paiement tiers. Vous autorisez Airbnb Payments et ses prestataires de services de paiement à collecter et stocker vos informations de Mode de paiement.

2.2 Vérification du Mode de paiement. Lorsque vous ajoutez ou utilisez un nouveau Mode de paiement, Airbnb Payments peut le vérifier en (i) autorisant votre Mode de paiement pour un ou deux montants nominaux par l'intermédiaire d'un prestataire de services de paiement et en vous demandant de confirmer ces montants, ou (ii) en vous demandant de télécharger un relevé de transactions. Nous pouvons, et nous nous en réservons le droit, amorcer les remboursements de ces montants à partir de votre Mode de paiement. Lorsque vous ajoutez un Mode de paiement au moment du paiement, nous ajouterons et enregistrerons automatiquement ce Mode de paiement sur votre compte Airbnb de façon à ce qu'il puisse être utilisé pour une future transaction. Vous ne pouvez pas supprimer le Mode de paiement associé à une réservation, pendant la période commençant à la date de votre réservation et se terminant quatorze (14) jours après votre date de départ, ni pendant toute période supplémentaire nécessaire pour traiter toute Demande d'indemnisation pour dommages en suspens associée à cette réservation.

2.3 Autorisation de paiement. Vous permettez à Airbnb Payments de débiter votre ou vos Modes de paiement, directement ou indirectement, pour tous les frais dus (y compris les taxes applicables) en relation avec votre compte Airbnb, y compris les montants correspondant à une demande d'indemnisation pour dommages conformément aux Conditions de service et à l'article 6.

2.4 Mise à jour automatique du Mode de paiement. Si vos informations de compte relatives au Mode de paiement changent (par exemple, numéro de compte, code d'acheminement, date d'expiration) en conséquence d'une nouvelle émission, nous pouvons obtenir ces informations auprès de notre partenaire de services financiers ou de votre banque et mettre à jour votre Mode de paiement dans notre dossier.

2.5 Délai de paiement. Airbnb Payments recouvrera en règle générale le Prix total dû après que l'Hôte a accepté votre demande de réservation. Cependant, si vous payez avec un Mode de paiement « push » (tel que Sofort), Airbnb Payments collectera le Prix total dû au moment de votre demande de réservation ou une fois que l'Hôte aura accepté votre demande de réservation. Airbnb Payments peut offrir d'autres options concernant les délais et modalités de paiement. Tous les frais supplémentaires pour l'utilisation de ces options de paiement alternatives seront affichés sur la Plateforme Airbnb et inclus dans le Prix total, et vous acceptez de payer ces frais en sélectionnant l'option de paiement. Des conditions supplémentaires peuvent s'appliquer en cas d'utilisation d'une option de paiement alternative. Si Airbnb Payments n'est pas en mesure de collecter le Prix total dû, comme prévu, Airbnb Payments collectera le Prix total dû à un moment ultérieur conformément à l'article 5.3. Une fois que le paiement correspondant à la réservation que vous avez demandée aura été effectué avec succès, vous recevrez un e-mail de confirmation.

2.6 Devise. Airbnb Payments traitera chaque transaction dans la devise que vous aurez sélectionnée sur la Plateforme Airbnb. Les devises disponibles pour effectuer des paiements peuvent être limitées pour des raisons réglementaires ou opérationnelles en fonction de facteurs tels que le Mode de paiement que vous avez choisi, votre pays de résidence et/ou votre ou vos entité(s) contractante(s) Airbnb Payments. Toute restriction de cette nature sera communiquée sur la Plateforme Airbnb, et vous devrez choisir une autre devise ou un autre Mode de paiement. Notez que si la localisation de votre entité contractante Airbnb Payments est différente du pays de votre Mode de paiement ou si la devise choisie est différente de la devise de facturation de votre Mode de paiement, votre paiement peut être traité en dehors de votre pays de résidence. Par conséquent, certains frais peuvent s'appliquer et le montant indiqué sur votre relevé de carte bancaire peut être différent du montant indiqué lors du paiement. Par exemple, si vous faites une réservation avec une carte bancaire émise aux États-Unis, mais que vous avez sélectionné l'euro comme devise, votre paiement pourrait être traité en dehors des États-Unis. Les banques et les émetteurs de cartes de crédit peuvent appliquer des frais pour les transactions internationales et des commissions de change. En outre, si vous choisissez de payer dans une devise différente de la devise de facturation de votre Mode de paiement, votre banque ou l'émetteur de votre carte de crédit pourrait convertir le montant du paiement dans la devise de facturation associée à votre Mode de paiement, en appliquant un taux de change et une commission fixés uniquement par votre banque. Airbnb Payments n'est pas responsable de ces frais et décline toute responsabilité à cet égard. Pour toute question concernant ces frais et le taux de change applicable, veuillez contacter votre banque ou l'émetteur de votre carte bancaire.

2.7 Statut de la demande de réservation. Si une réservation demandée est refusée parce qu'elle n'est pas acceptée par l'Hôte, si vous annulez la demande de réservation avant qu'elle ne soit acceptée par l'Hôte, ou si Airbnb annule la réservation, tous les montants perçus par Airbnb Payments et qui vous sont dus conformément aux politiques décrites à l'article 5.5, vous seront remboursés, et toute autorisation préalable de votre Mode de paiement sera levée (le cas échéant) conformément à l'article 5.5.2.

2.8 Restrictions de paiement. Airbnb Payments se réserve le droit de refuser ou de limiter les paiements dont nous estimons qu'ils (i) peuvent violer les politiques ou les procédures de gestion des risques d'Airbnb Payments, (ii) peuvent violer ces Conditions de paiement ou les Conditions de service, (iii) sont non autorisés, frauduleux ou illégaux, ou (iv) vous exposent ou exposent Airbnb, Airbnb Payments, ou d'autres à des risques inacceptables pour Airbnb Payments.

2.9 Prestataires de Services de paiement. Les Modes de paiement peuvent impliquer le recours à des prestataires de services de paiement tiers. Ces prestataires de services de paiement peuvent vous facturer des frais supplémentaires lors du traitement des paiements en relation avec les Services de paiement ; Airbnb Payments n'est pas responsable de ces frais et décline toute responsabilité à cet égard. Votre Mode de paiement peut également faire l'objet de conditions d'utilisation supplémentaires. Veuillez les consulter avant d'utiliser votre Mode de paiement.

2.10 Votre Mode de paiement, votre responsabilité. Airbnb Payments n'est pas responsable de toute perte subie par vous en raison d'informations incorrectes que vous auriez fournies sur les Modes de paiement.

2.11 Différents Modes de paiement

2.11.1 Paiement en plusieurs fois

2.11.1.1 Airbnb Payments peut offrir aux Voyageurs la possibilité de payer une partie du Prix total de la réservation au moment de la réservation et de payer le reste du Prix total à un moment ultérieur avant l'arrivée (« Paiement en plusieurs fois »). La disponibilité de cette option peut dépendre de l'Annonce et/ou du Mode de paiement.

2.11.1.2 Si vous optez pour un Paiement en plusieurs fois, la Plateforme Airbnb vous informera, lors de la commande, du montant, de la devise et du calendrier de chaque paiement dû. À la date d'échéance des paiements suivants, Airbnb Payments débitera automatiquement le Mode de paiement original que vous avez utilisé pour effectuer la réservation.

2.11.1.3 Si vous apportez une modification à une réservation effectuée avec un Paiement en plusieurs fois, Airbnb Payments vous informera du nouveau calendrier de paiement. Si la modification entraîne une hausse de votre Prix total, il peut vous être demandé d'effectuer un paiement partiel supplémentaire de ce nouveau Prix total au moment de la modification.

2.11.1.4 Vous acceptez qu'en sélectionnant un Paiement en plusieurs fois, il se peut que vous ne puissiez pas payer la réservation avec un autre Mode de paiement ou selon un autre calendrier de paiement.

2.11.1.5 Si Airbnb Payments n'est pas en mesure de collecter votre paiement, Airbnb Payments vous informera de ce refus et vous demandera de compléter le paiement en utilisant un autre Mode de paiement dans les 72 heures suivant la notification. Si vous n'effectuez pas le paiement, vous autorisez Airbnb à annuler la réservation en votre nom. Si la réservation est annulée, vous recevrez le remboursement prévu par les conditions d'annulation de l'Hôte. Vous reconnaissez que l'annulation peut entraîner des frais en fonction des conditions d'annulation de l'Hôte.

2.11.2 Paiements périodiques

2.11.2.1 Pour certaines réservations (telles que des réservations d'hébergement de vingt-huit (28) nuits ou plus), Airbnb Payments pourra demander au Voyageur d'effectuer des paiements périodiques et échelonnés jusqu'à atteindre le Prix total dû (« Paiements périodiques »). Vous trouverez plus d'informations sur les paiements périodiques (y compris le montant et la fréquence des paiements) sur la Plateforme Airbnb s'ils sont applicables à une réservation.

2.11.2.2 Si les Paiements périodiques s'appliquent à une réservation confirmée, le Voyageur autorise Airbnb Payments à collecter le Prix total dû.

2.11.2.3 Les Voyageurs peuvent mettre fin au Paiement périodique en notifiant Airbnb Payments par oral ou par écrit au moins trois (3) jours ouvrés avant la date prévue du paiement. Airbnb Payments pourra vous demander de lui fournir une confirmation écrite de l'arrêt du paiement dans les quatorze (14) jours suivant une notification orale. Si vous ne fournissez pas de confirmation écrite dans les (14) jours, Airbnb Payments n'est pas tenu d'honorer toute demande d'interruption des Paiements périodiques à venir. Si vous avez des questions concernant vos paiements périodiques, veuillez contacter Airbnb Payments.

3. Conditions relatives aux Hôtes

3.1 Collecte des paiements. Airbnb Payments collecte généralement le Prix total d'une réservation au moment où l'Hôte accepte la demande de réservation du Voyageur, sauf indication contraire.

3.2 Mode de versement valide. Afin de recevoir un Versement, vous devez disposer d'un Mode de versement valide lié à votre compte Airbnb. Lorsque vous ajoutez un Mode de versement à votre compte Airbnb, il vous sera demandé de fournir des informations, telles que le nom, l'adresse de facturation et les informations relatives à votre instrument financier, soit à Airbnb Payments soit à son ou ses prestataires de paiement tiers. Selon le Mode de versement choisi, des informations supplémentaires peuvent être requises, telles que : l'adresse de résidence, le nom sur le compte, le type de compte, le numéro d'acheminement, le numéro de compte, l'adresse e-mail, la devise de versement, le numéro d'identification et les informations de compte associées à un gestionnaire de paiement particulier. La transmission des informations demandées est nécessaire pour qu'un Mode de versement soit valide. Les informations dont Airbnb Payments a besoin pour un Mode de versement valide peuvent changer, et Airbnb Payments peut demander des informations supplémentaires à tout moment ; le fait de ne pas fournir les informations demandées peut entraîner la mise en attente temporaire, la suspension ou l'annulation de tout Versement par Airbnb Payments jusqu'à ce que les informations soient fournies et, si nécessaire, validées. Vous autorisez Airbnb Payments à collecter et à stocker les informations relatives à votre Mode de versement. Airbnb Payments peut également communiquer vos informations aux autorités gouvernementales, comme l'exige la loi applicable .

3.3 Délai de versement

3.3.1 Sous réserve et en fonction de la bonne réception des paiements du Voyageur, Airbnb Payments déclenchera généralement les Versements vers le Mode de versement que vous avez choisi : (i) pour l'Hébergement, 24 heures après l'heure d'arrivée prévue du Voyageur (ou 24 heures après 15 h heure locale si l'heure d'arrivée est flexible ou non spécifiée ; ou 15 h temps universel coordonné si l'heure locale est inconnue) ; (ii) pour les Expériences, 24 heures après le début de l'Expérience ; et (iii) pour tous les autres Services d'hôte, à l'heure spécifiée sur la Plateforme Airbnb. Pour les réservations d'Hébergement de vingt-huit (28) nuits ou plus, Airbnb Payments effectuera généralement le premier versement 24 heures après l'heure d'arrivée prévue du Voyageur, et effectuera les versements suivants tous les 30 jours après le versement initial, pendant la durée de la réservation.

3.3.2 Airbnb Payments peut vous proposer un délai ou un déclenchement différent pour le paiement, qui peut être soumis à des conditions supplémentaires. Le temps qu'il faut pour recevoir les Versements une fois débloqués par Airbnb Payments peut dépendre du Mode de versement que vous choisissez.

3.4 Versement. Votre versement pour une réservation correspond au Prix total moins les frais applicables tels que les frais de service Airbnb et les taxes applicables. En cas d'annulation d'une réservation confirmée, Airbnb Payments versera le montant dû (le cas échéant) conformément aux Conditions de service et aux conditions d'annulation applicables.

3.5 Restrictions de versement. Airbnb Payments peut temporairement mettre en attente, suspendre ou annuler un versement dans le but de prévenir une activité illégale ou une fraude, d'évaluer les risques, d'assurer la sécurité ou de mener à bien une enquête ; ou si nous ne sommes pas en mesure de vérifier votre identité, d'obtenir ou de vérifier les informations demandées. En outre, Airbnb Payments peut temporairement mettre en attente, suspendre ou retarder le lancement ou le traitement de tout versement qui vous est dû en vertu des Conditions de service à la suite d'un volume élevé d'annulations de réservations ou de modifications découlant d'un événement de force majeure (tel que défini ci-dessous).

3.6 Conversion de devises. Airbnb Payments effectuera vos Versements dans la devise que vous aurez choisie sur la Plateforme Airbnb. Les devises disponibles peuvent être limitées pour des raisons réglementaires ou opérationnelles en fonction de facteurs tels que le Mode de versement choisi, votre pays de résidence et/ou votre ou vos entités adjudicatrices Airbnb. Toute restriction de cette nature sera communiquée sur la Plateforme Airbnb, et vous devrez sélectionner une autre devise ou un autre Mode de versement. Notez que les prestataires de services de paiement peuvent imposer des frais de transaction, de conversion de devises ou d'autres frais en fonction de la devise ou du Mode de versement que vous sélectionnez, et Airbnb Payments n'est pas responsable de ces frais et décline toute responsabilité à cet égard.

3.7 Limites des versements. À des fins de conformité ou opérationnelles, Airbnb Payments peut limiter le montant d'un Versement. Si un montant qui vous est dû excède cette limite, Airbnb Payments peut procéder à une série de Versements (éventuellement sur plusieurs jours) afin de vous payer le montant total du Versement.

3.8 Prestataires de services de paiement. Les Modes de versement peuvent impliquer le recours à des prestataires de services de paiement tiers. Ces prestataires de services peuvent vous facturer des frais supplémentaires lorsqu'ils traitent de Versements en lien avec les Services de paiement (y compris en déduisant des frais du montant de versement). Airbnb Payments n'est pas responsable desdits frais et décline toute responsabilité à cet égard. Votre Mode de versement peut également faire l'objet de conditions d'utilisation supplémentaires. Veuillez les consulter avant d'utiliser votre Mode de versement.

3.9 Votre mode de versement, votre responsabilité. Airbnb Payments n'est pas responsable de toute perte subie par vous en raison d'informations incorrectes que vous auriez fournies sur les Modes de versement.

3.10 Différents Modes de versement

3.10.1 Versements fractionnés

Si vous fournissez des Services d'hôtes conjointement avec un ou plusieurs autres Hôtes en tant que membre d'une équipe, d'une entreprise ou d'une autre organisation (« Équipe d'hôtes »), Airbnb peut mettre à la disposition de ces Hôtes l'option de répartir entre les membres de l'Équipe d'hôtes le montant total du Versement de l'Hôte pour une réservation. Airbnb Payments procédera à ces paiements sur instruction d'un ou plusieurs membres de l'Équipe d'hôtes et n'est pas responsable des pertes liées aux erreurs ou omissions commises par les Hôtes dans la fourniture de ces instructions de paiement.

4. Désignation d'Airbnb Payments en tant qu'agent de recouvrement des paiements à titre limité

4.1 Chaque Hôte, y compris chaque membre de l'Équipe d'hôtes, désigne par la présente Airbnb Payments en tant qu'agent de recouvrement des paiements de l'Hôte uniquement dans le but limité d'accepter et de traiter les fonds des Voyageurs qui achètent les Services d'hôte au nom de l'Hôte.

4.2 Chaque Hôte, y compris chaque membre de l'Équipe d'hôtes, accepte que le paiement effectué par un Voyageur par le biais d'Airbnb Payments, soit considéré comme un paiement effectué directement à l'Hôte, et l'Hôte fournira le Service d'hôte réservé par le Voyageur de la manière convenue comme si l'Hôte avait reçu le paiement directement du Voyageur. Chaque Hôte accepte qu'Airbnb Payments puisse rembourser le Voyageur conformément aux Conditions de service. Chaque Hôte comprend que l'obligation d'Airbnb Payments de payer l'Hôte est soumise et conditionnée à la réception effective des paiements associés de la part du Voyageur. Airbnb Payments garantit les paiements aux Hôtes uniquement pour les montants qui ont bien été reçus par Airbnb Payments des Voyageurs conformément aux présentes Conditions de paiement. En acceptant la désignation en tant qu'agent de recouvrement des paiements à titre limité de l'Hôte, Airbnb Payments n'assume aucune responsabilité pour tout acte ou omission de l'Hôte.

4.3 Chaque Voyageur reconnaît et accepte que, nonobstant le fait qu'Airbnb Payments n'est pas une partie au contrat entre vous et le ou les Hôtes, y compris chaque membre de l'Équipe d'hôtes, Airbnb Payments agit en tant qu'agent de recouvrement de paiement de chaque Hôte dans le but limité d'accepter des paiements de votre part au nom de l'Hôte ou des Hôtes. Dès le paiement des fonds par un Voyageur à Airbnb Payments, l'obligation de paiement du Voyageur à l'Hôte ou aux Hôtes pour le montant convenu est annulée, et Airbnb Payments est responsable de remettre les fonds reçus avec succès par Airbnb Payments à l'Hôte ou aux Hôtes de la manière décrite dans ces Conditions de paiement. Dans l'éventualité où Airbnb Payments ne verserait pas lesdits montants, le ou les Hôtes n'auront de recours qu'à l'encontre d'Airbnb Payments et non à l'encontre du Voyageur directement.

5. Conditions générales

5.1 Frais. Airbnb Payments peut facturer des frais pour l'utilisation de certains Services de paiement, et tous les frais applicables vous seront divulgués dans les Conditions de service ou sur la Plateforme Airbnb.

5.2 Autorisations de paiement. Vous autorisez Airbnb Payments à collecter auprès de vous les sommes dues conformément aux présentes Conditions de paiement et/ou aux Conditions de service en (i) imputant le Mode de paiement associé à la réservation concernée, ou tout autre Mode de paiement enregistré que vous autorisez dans votre compte Airbnb (sauf si vous avez précédemment retiré l'autorisation de débiter ce ou ces Modes de paiement, ou (ii) en retenant le montant de votre futur versement. Plus précisément, vous autorisez Airbnb Payments à collecter auprès de vous :

• Tout montant dû à Airbnb ou Airbnb Payments (par exemple, à la suite de vos réservations, modifications de réservation, annulations, ou autres actions en tant que Voyageur, Hôte ou utilisateur de la Plateforme Airbnb), y compris le remboursement des frais prépayés par Airbnb ou Airbnb Payments en votre nom. Tout fonds collecté par Airbnb Payments compensera le montant que vous devez à Airbnb ou Airbnb Payments, et mettra fin à votre obligation envers Airbnb ou Airbnb Payments.
• Toute somme due à un Hôte par un Voyageur qu'Airbnb collecte en tant qu'agent de recouvrement de l'Hôte comme indiqué dans l'article 4 ci-dessus.
• Les taxes, le cas échéant et conformément aux Conditions de service.
• Tout montant que vous payez par le biais du Centre de résolution en lien avec votre compte Airbnb.
• Tout montant de demande d'indemnisation pour dommages dû à Airbnb ou à Airbnb Payments conformément aux Conditions de service et à l'article 6.
• Les pénalités de dépassement de séjour payables en vertu des Conditions de service, y compris tout coût et toute dépense engagés pour le recouvrement de la pénalité de dépassement de séjour.
• Tous frais de service ou frais d'annulation imposés au titre des Conditions de service (par exemple si, en tant qu'Hôte, vous annulez une réservation confirmée).
• Tout montant qui aurait déjà été payé en tant qu'Hôte malgré l'annulation d'une réservation confirmée par un Voyageur ou la décision d'Airbnb d'annuler une réservation conformément aux Conditions, Politique de remplacement d'hébergement et de remboursement, Politique de remboursement des voyageurs pour les expériences, Politique Luxe de remplacement d'hébergement et de remboursement, Politique relative aux cas de force majeure, ou autres conditions d'annulation applicables. Vous acceptez que dans le cas où vous avez déjà été payé, Airbnb Payments sera en droit de récupérer le montant de tout remboursement de Voyageur auprès de vous, y compris en soustrayant ce montant de remboursement de tout Versement futur qui vous est dû.

Si vous êtes redevable d'un montant à tout moment après une réservation, par exemple en cas de frais liés à un Paiement en plusieurs fois ou à un Paiement récurrent, de Modifications de réservation, de paiements au Centre de résolution ou de Déclaration de sinistre (« Montants additionnels »), vous autorisez et accordez par les présentes à Airbnb Payments un mandat pour collecter les paiements de ces Montants additionnels en débitant votre Mode de paiement associé à la réservation concernée sans autre action de votre part. Airbnb Payments vous informera par écrit avant que des Montants additionnels ne soient facturés.

Si votre Mode de paiement associé à la réservation concernée est expiré, invalide ou ne peut pas être facturé pour quelque raison que ce soit (comme un manque de fonds), vous restez responsable de tout montant non collecté et Airbnb Payments peut facturer à nouveau le Mode de paiement lié à votre réservation ou utiliser tout autre Mode de paiement dans le fichier associé à votre compte Airbnb, si disponible, pour collecter ces Montants additionnels. Toute somme non collectée pour quelque raison que ce soit sera assujettie à tous les recours qui peuvent être disponibles, y compris, mais sans s'y limiter, le renvoi à une agence de recouvrement, ou la poursuite de causes d'action ou de réclamations disponibles contre vous.

Si Airbnb a des raisons de croire que vous, en tant qu'Hôte, avez participé à une activité frauduleuse, telle qu'une escroquerie de paiement en trop, une fraude de réservation ou une autre fraude, et qu'Airbnb Payments a débloqué le versement pour un tel séjour, Airbnb Payments peut récupérer ce montant en réduisant, en compensant ou en débitant le montant de tout Versement futur qui vous est dû.

Outre les sommes dues comme décrit plus haut, si des montants que vous nous devez mais qui sont impayés ou des débits compensatoires sont liés à votre Mode de paiement, les frais inhérents au recouvrement desdits montants et débits compensatoires par Airbnb Payments pourraient vous être facturés. Lesdits frais pourraient inclure des frais de recouvrement, des frais de commodité (« convenience fees ») ou d'autres frais de tiers

5.3 Recouvrements

5.3.1 Si Airbnb Payments n'est pas en mesure de collecter tous montants que vous devez au titre des Conditions de service et des présentes Conditions de paiement, Airbnb Payments pourra prendre des mesures en vue de collecter lesdits montants auprès de vous.

5.3.2 Airbnb Payments considérera tout montant dû comme caractérisant un retard de paiement quand : (a) pour les frais autorisés, cent vingt (120) jours se sont écoulés après les premières tentatives d'Airbnb Payments de débiter votre Mode de paiement ou les services associés ont été fournis, selon la dernière éventualité ; et (b) pour les retenues sur les futurs Versements de l'Hôte, deux cent soixante-dix (270) jours se sont écoulés après que l'ajustement est fait sur le compte Airbnb de l'Hôte ou les services associés ont été fournis, selon la dernière éventualité.

5.3.3 Airbnb Payments considérera tout montant en souffrance non collecté comme étant en défaut de paiement lorsque trois cent soixante-cinq (365) jours se seront écoulés : (a) pour les frais autorisés, après les premières tentatives d'Airbnb Payments de débiter votre mode de paiement ou les services associés ont été fournis, selon la dernière éventualité ; et (b) pour les retenues sur les Versements futurs d'un Hôte, après que l'ajustement est fait sur le compte Airbnb de l'Hôte ou les services associés ont été fournis, selon la dernière éventualité.

5.3.4 Vous convenez explicitement par les présentes que toute communication relative aux sommes dues sera effectuée par courrier électronique ou par téléphone, aux coordonnées indiquées par vous à Airbnb et/ou Airbnb Payments. Ladite communication peut être faite par Airbnb, Airbnb Payments ou par une autre personne en son nom, y compris notamment par un agent de recouvrement tiers.

5.4 Erreurs de traitement des paiements

5.4.1 Airbnb Payments prendra les mesures nécessaires pour rectifier toute erreur de traitement des paiements dont nous aurons connaissance. Parmi ces mesures, il peut y avoir (selon le cas) un crédit ou un débit par le même Mode de versement ou de paiement que celui utilisé ou sélectionné par vous, de manière à ce que vous finissiez par recevoir ou payer le montant exact. Ceci peut être effectué par Airbnb Payments ou une institution tierce comme votre établissement financier. Nous pouvons également prendre des mesures pour récupérer les fonds qui vous ont été envoyés par erreur (y compris, mais sans s'y limiter, un cas de double paiement effectué en raison d'une erreur de traitement), en réduisant, en compensant et/ou en débitant le montant de ces fonds de tout versement futur qui vous est dû.

5.4.2 Dans la mesure où vous recevez des fonds par erreur, vous acceptez de restituer immédiatement lesdits fonds à Airbnb Payments.

5.5 Remboursements

5.5.1 Tout remboursement ou crédit dû à un Membre en vertu des Conditions, Politique relative aux cas de force majeure, Politique de remplacement d'hébergement et de remboursement, Politique de remboursement des voyageurs pour les expériences et Politique Luxe de remplacement d'hébergement et de remboursement sera initié et remis par Airbnb Payments conformément aux présentes Conditions de paiement.

5.5.2 Sous réserve du présent article 5.5.2, Airbnb Payments lancera immédiatement le processus de remboursement. En cas d'annulation par un Hôte, Airbnb Payments conservera les fonds pour le compte de l'Hôte pendant 72 heures maximum, jusqu'à ce que le Voyageur soit remboursé ou que les fonds soient utilisés pour effectuer une nouvelle réservation auprès d'un autre Hôte. À aucun moment, Airbnb Payments ne détient les fonds au nom du Voyageur ou ne fournit au Voyageur un service de paiement. Dans certains cas, le processus de remboursement peut inclure l'option de recevoir un crédit en lieu et place d'un remboursement en espèces ; si cette option est mise à votre disposition, la durée de votre remboursement sera communiquée via la Plateforme Airbnb. Toutefois, le temps nécessaire pour recevoir un remboursement en espèces ou pour que toute préautorisation de votre Mode de paiement soit débloquée varie en fonction du Mode de paiement et des règles du système de paiement applicable (par exemple, Visa, Mastercard, etc.). Dans le cas d'un Événement de force majeure pouvant affecter le traitement et le règlement des remboursements, Airbnb Payments initiera et traitera le remboursement dès que possible.

6. Déclarations de sinistres et montants des dommages

6.1 Si vous êtes responsable de montants relatifs à une Demande d'indemnisation pour dommages conformément à l'article 15 des Conditions de service, Airbnb via Airbnb Payments peut, avec votre autorisation préalable, débiter le Mode de paiement utilisé pour effectuer la réservation ou tout autre mode de paiement figurant dans votre compte Airbnb au moment de la Demande d'indemnisation pour dommages afin de collecter les montants de la Demande d'indemnisation pour dommages, jusqu'à un montant maximum tel que défini dans l'article 15 des Conditions de service.

6.2 Vous acceptez qu'Airbnb Payments peut chercher à recouvrer auprès de vous dans le cadre de toute police d'assurance que vous détenez, et qu'Airbnb Payments peut également exercer contre vous tous les recours dont il dispose, y compris, mais sans s'y limiter, en ce qui concerne toute demande d'indemnisation pour dommages ou toute demande de paiement faite par les Hôtes dans le cadre de la Garantie dommages des hôtes.

7. Biens abandonnés

Si Airbnb Payments détient des fonds qui vous sont dus (par exemple, parce que nous ne sommes pas en mesure de vous émettre un Versement ou un remboursement) ou que vous n'utilisez pas une carte cadeau ou un crédit cadeau pour la période de temps indiquée par votre État, pays, ou toute autre autorité publique dans ses lois sur les biens non réclamés, nous pouvons traiter les fonds qui vous sont dus conformément à nos obligations légales, y compris par la déclaration et la déshérence (envoi) de ces fonds à l'autorité publique appropriée comme l'exigent les lois applicables sur les biens non réclamés.

8. Activités interdites

8.1 Vous êtes le seul responsable du respect des réglementations applicables et des obligations fiscales qui peuvent régir votre utilisation des Services de paiement. En lien avec votre utilisation des Services de paiement, vous ne pouvez, et vous vous interdisez d'aider d'autres personnes à, ou de permettre à d'autres personnes de :

• enfreindre ou contourner toute loi ou réglementation applicable ;
• violer ou contourner tout contrat avec des tiers, les droits de tiers, ou les Conditions de service, Conditions juridiques additionnelles, Politiques, ou Normes ;
• utiliser les Services de paiement dans un but commercial ou autre non expressément autorisé par les présentes Conditions de paiement ;
• enregistrer ou utiliser tout Mode de paiement ou Mode de versement sur votre compte Airbnb qui ne vous appartient pas ou que vous n'êtes pas autorisé à utiliser ;
• éviter, détourner, retirer, désactiver, endommager, décoder ou contourner toute mesure technologique mise en place par Airbnb Payments ou tout fournisseur d'Airbnb Payments ou tout autre tiers afin de protéger les Services de paiement ;
• prendre toute mesure qui perturbe ou nuit à, ou pourrait perturber ou nuire à la performance ou au bon fonctionnement des Services de paiement ;
• déchiffrer, décompiler, désassembler ou faire de l'ingénierie inverse des logiciels ou du matériel utilisés pour fournir les services de paiements ; ou
• violer ou porter atteinte aux droits de tiers ou nuire à qui que ce soit.

8.2 Vous ne pouvez pas utiliser ou aider d'autres personnes à utiliser les Services de paiement pour envoyer ou recevoir des fonds : (i) vers tout pays sous embargo des États-Unis ; ou (ii) vers toute personne figurant sur la liste des ressortissants spécialement désignés du département du Trésor des États-Unis, sur la liste des personnes ou entités faisant l'objet d'une interdiction, établie par le département du Commerce des États-Unis, sur la liste des sanctions du Royaume-Uni et sur la liste consolidée du département du Trésor, sur la liste consolidée des Nations Unies ou sur la liste consolidée de l'Union européenne. Vous déclarez et garantissez que : (i) vous ne résidez pas, et vos Services d'Hôte ne sont pas fournis dans un pays sous embargo américain, ou qui a été désigné par l'État fédéral américain comme un pays « soutenant le terrorisme » ; et (ii) vous ne figurez sur aucune liste de parties interdites ou soumises à restrictions de l'État fédéral américain, du Royaume-Uni ou de l'Union européenne. En plus de vous conformer à ce qui précède, vous devez également vous conformer à toutes lois relatives au contrôle des exportations en vigueur dans votre pays.

9. Force majeure

Airbnb Payments ne sera pas responsable de tout retard ou manquement à toute obligation en vertu des présentes Conditions de paiement résultant de causes hors du contrôle raisonnable d'Airbnb ou Airbnb Payments, y compris, mais sans s'y limiter, les catastrophes naturelles, la guerre, le terrorisme, les émeutes, les embargos, les actes des autorités civiles ou militaires, incendie, inondations, accidents, pandémies, épidémies ou maladies, grèves ou pénuries de moyens de transport, de carburant, d'énergie, de main-d'œuvre ou de matériaux (« Cas de force majeure »).

10. Exclusions de responsabilité et de garantie

10.1 Si vous choisissez d'utiliser les Services de paiement, vous le faites volontairement et à votre propre risque. Dans les limites autorisées par la loi, les Services de paiement sont fournis « tels quels », sans garantie d'aucune sorte, qu'elle soit expresse ou implicite.

10.2 Nonobstant la nomination d'Airbnb Payments en tant qu'agent de recouvrement de paiement à titre limité des Hôtes conformément à l'article 4, Airbnb Payments décline explicitement toute responsabilité pour tout acte ou omission de tout Membre ou autre tiers. Airbnb Payments n'a aucun devoir ni aucune obligation en tant qu'agent envers chaque Hôte sauf dans la mesure expressément indiquée dans les présentes Conditions de paiement, et tous devoirs ou toutes obligations supplémentaires pouvant être implicites en vertu de la loi sont, dans les limites autorisées par la loi, expressément exclus.

10.3 Si nous choisissons de vérifier l'identité d'un quelconque Membre, dans la mesure autorisée par la loi en vigueur, nous excluons toute garantie, explicite ou implicite, que ces vérifications permettront d'identifier un comportement fautif passé d'un Membre ou qu'un Membre ne fera pas preuve d'un comportement fautif à l'avenir.

10.4 Les exclusions susmentionnées s'appliquent dans toute la mesure permise par la loi. Vous pouvez bénéficier d'autres droits légaux ou garanties qui ne peuvent pas légalement être exclus. Cependant, la durée de toutes les garanties imposées par la loi sera limitée dans toute la mesure permise par la loi (le cas échéant).

11. Responsabilité

11.1 Si vous résidez au Royaume-Uni ou en Suisse et que vous concluez un contrat avec Airbnb Payments UK, vous reconnaissez et acceptez que, dans la mesure maximale permise par la loi, l'ensemble des risques découlant de votre accès et de votre utilisation des Services de paiement demeurent de votre responsabilité. Si vous permettez à ou autorisez une autre personne à utiliser votre compte Airbnb de quelque façon que ce soit, vous êtes responsable des actions de cette personne. Ni Airbnb Payments, ni aucune autre partie impliquée dans la création, la production ou la mise à disposition des Services de paiement ne sauraient être redevables de quelconques dommages accessoires, spéciaux, exemplaires ou consécutifs, y compris pour la perte de profits, la perte de données ou la perte de clientèle, l'interruption de service, les dommages informatiques, défaillance de système, le coût de substitution de produits ou de services, ou de tous dommages découlant de tout préjudice personnel, de préjudice corporel ou de détresse émotionnelle découlant directement ou indirectement (i) des présentes Conditions de paiement, (ii) de l'utilisation ou de l'incapacité à utiliser les Services de paiement, (iii) de toutes les communications, interactions ou réunions avec d'autres Membres ou d'autres personnes avec lesquelles vous communiquez ou interagissez ou que vous rencontrez dans le cadre de votre utilisation des Services de paiement, que ce soit au titre d'une garantie, d'une responsabilité contractuelle ou délictuelle (y compris pour négligence), d'une responsabilité du fait des produits défectueux ou de tout autre principe juridique, et indépendamment du fait qu'Airbnb Payments ait été informée ou non de la possibilité de tels dommages, même si toute voie de recours limité énoncée dans les présentes a échoué dans son objet essentiel. À l'exception de notre obligation de régler les montants dus aux Hôtes concernés conformément aux présentes Conditions de paiement ou suite à une demande de paiement approuvée dans le cadre de la Garantie dommages des hôtes, la responsabilité globale d'Airbnb Payments résultant de ou liée aux présentes Conditions de paiement et à votre utilisation des Services de paiement, y compris, sans limitation, votre utilisation ou impossibilité d'utiliser les Services de paiement, ne saurait en aucun cas dépasser (i) les montants que vous avez réglés ou dont vous êtes redevable au titre de réservations faites sur la Plate-forme Airbnb en tant que Voyageur au cours des douze (12) mois précédant l'événement mettant en cause la responsabilité ou, si vous êtes un Hôte, les montants qui vous ont été réglés par Airbnb Payments au cours des douze (12) mois précédant l'événement mettant en cause la responsabilité, ou (ii) la somme de cent dollars (100 $ US), si aucun paiement de ce type n'a été effectué, selon le cas. Les limitations des dommages précités sont des éléments fondamentaux de l'accord entre Airbnb Payments et vous. Certaines juridictions n'autorisent pas l'exclusion ou la limitation de responsabilité pour les dommages indirects ou accessoires, de sorte que la limitation susmentionnée ne vous sera pas applicable. Si vous résidez en dehors des États-Unis, les stipulations qui précèdent ne s'appliquent pas à la responsabilité d'Airbnb Payments en cas de décès ou de préjudice corporel causé par sa négligence, ni en cas de fausse déclaration, de déclaration inexacte concernant une question fondamentale ou toute autre responsabilité qui ne peut être exclue ou limitée en vertu du droit applicable.

11.2 Si vous résidez dans l'EEE ou au Luxembourg, l'article 11.1 ne s'applique pas et Airbnb Payments est responsable en vertu de certaines dispositions de la loi en cas de faute intentionnelle et grave commise par nous, nos représentants légaux, administrateurs ou mandataires. Il en va de même pour la prise en charge des garanties ou de toute autre responsabilité de plein droit ou en cas d'atteinte à la vie, à l'intégrité physique ou à la santé. La responsabilité d'Airbnb Payments est engagée en cas de manquements non intentionnels à des obligations contractuelles, commis par nous, nos représentants légaux, administrateurs ou mandataires, cette responsabilité est limitée aux dommages prévisibles typiques pouvant survenir. Les obligations contractuelles essentielles sont des obligations d'Airbnb Payments dont vous attendez la bonne exécution et sur l'accomplissement desquelles vous devez pouvoir compter pour la bonne exécution du contrat. Toute autre responsabilité d'Airbnb Payments est exclue, dans les limites autorisées par la loi.

12. Indemnisation

Dans les limites autorisées par le droit applicable, vous acceptez de décharger, défendre (au choix d'Airbnb Payments), indemniser et dégager Airbnb Payments et ses sociétés affiliées et filiales ainsi que leurs dirigeants, administrateurs, employés et agents, de toute responsabilité quant à l'ensemble des réclamations, responsabilités, dommages, pertes et dépenses, y compris, notamment, les honoraires d'avocat et de comptable raisonnables, résultant de ou de quelque manière que ce soit liés à (i) votre violation des présentes Conditions de paiement ; (ii) votre utilisation inappropriée des Services de paiement ; (iii) votre manquement, ou notre manquement à vos instructions, à déclarer, collecter ou verser les impôts avec exactitude ; ou (iv) votre violation d'un(e) quelconque loi, réglementation ou droit de tiers. Si vous résidez dans l'EEE, conformément à cet article 12, l'obligation d'indemnisation s'applique uniquement si et dans la mesure où les demandes, responsabilités, dommages, pertes et dépenses ont été suffisamment causés par votre violation fautive d'une obligation contractuelle.

13. Modification, durée, résiliation et autres mesures

13.1 Modification. Lorsque nous proposons des modifications des présentes Conditions de paiement, nous publierons les Conditions de paiement révisées sur la Plate-forme Airbnb et modifierons la date de « dernière mise à jour » figurant en haut des présentes Conditions de paiement. Nous vous informerons également des modifications apportées dans un délai minimum de deux (2) mois avant sa date d'entrée en vigueur. Si les modifications proposées aux présentes Conditions de paiement sont significatives, il vous sera demandé d'accepter explicitement les Conditions de paiement révisées. Cet avis vous informera également de votre droit de refuser les modifications proposées, du délai pour le faire et de votre droit de résilier le présent contrat à tout moment avant la date d'entrée en vigueur des modifications proposées, comme prévu dans les présentes Conditions de paiement. En cas (i) de modifications non matérielles des présentes Conditions de paiement qui n'affectent pas leurs dispositions essentielles, notamment les dispositions définissant la nature et la portée des Services de paiement fournis par Airbnb Payments ou (ii) de modifications exigées par la loi, une décision de justice juridiquement contraignante ou un ordre contraignant d'une autorité compétente, votre utilisation continue des Services de paiement après la date d'entrée en vigueur des modifications proposées vaudra acceptation des Conditions de paiement révisées.

13.2 Durée. Ce contrat entre vous et Airbnb Payments reflété par ces Conditions de paiement est effectif lorsque vous créez un compte Airbnb ou utilisez les Services de paiement et reste en vigueur jusqu'à ce que vous ou nous résilions ce contrat conformément à l'article 13.3.

13.3 Résiliation. Vous pouvez résilier le présent contrat à tout moment en nous envoyant un e-mail ou en supprimant votre compte Airbnb. La résiliation de ce contrat servira également de notification pour annuler votre compte Airbnb conformément aux Conditions de service. Sans limiter nos droits spécifiés ci-dessous, Airbnb Payments peut mettre fin à ce contrat pour raisons de commodité à tout moment en vous donnant un préavis de deux (2) mois. Airbnb Payments peut résilier le présent contrat si (i) vous avez enfreint matériellement vos obligations en vertu du présent contrat ; (ii) vous avez fourni des informations inexactes, frauduleuses, obsolètes ou incomplètes ; (iii) vous avez violé des lois, règlements ou des droits de tiers applicables ; ou (iv) Airbnb Payments croit de bonne foi que ladite action est raisonnablement nécessaire à la protection d'autres Membres, d'Airbnb, d'Airbnb Payments ou de tiers.

13.4 Suspension et autres mesures. Airbnb Payments peut limiter ou suspendre temporairement ou de façon permanente votre utilisation des Services de paiement ou votre accès à ceux-ci (i) afin de se conformer à toute loi applicable, à toute décision d'un tribunal ou de toute autre autorité judiciaire, administrative ou de police dûment habilitée, ou si (ii) vous avez violé les présentes Conditions de paiement, les Conditions de service, les lois, réglementations ou droits des tiers applicables, (iii) si vous avez fourni des informations inexactes, frauduleuses, obsolètes ou incomplètes concernant une Mode de paiement ou un Mode de versement, (iv) pour tout montant dont vous êtes redevable aux termes des présentes Conditions de paiement est échu ou impayé, ou (v) si Airbnb Payments croit de bonne foi que ladite action est raisonnablement nécessaire pour protéger la sûreté du personnel ou des biens d'Airbnb, de ses Membres, d'Airbnb Payments, ou des tiers, ou pour empêcher la fraude ou toute autre activité illégale. En outre, en cas d'échec du paiement en raison de l'expiration de la carte bancaire, d'une insuffisance de fonds ou pour toute autre raison, nous pouvons suspendre temporairement votre accès aux Services de paiement jusqu'à ce que nous puissions facturer un Mode de paiement valable.

13.5 Appel. Si Airbnb Payments prend l'une ou l'autre des décisions définies aux articles 13.3 et 13.4, vous pouvez faire appel de cette décision en contactant le service clients.

13.6 Effet de la résiliation. Si vous annulez votre compte Airbnb en tant qu'Hôte ou si Airbnb Payments prend l'une des mesures décrites ci-dessus, Airbnb Payments peut procéder à un remboursement intégral à tout Voyageur ayant une ou plusieurs réservations confirmées, et vous n'aurez droit à aucune compensation pour les réservations en attente ou confirmées qui ont été annulées. Si vous supprimez votre compte Airbnb en tant que Voyageur, Airbnb Payments procédera au remboursement de toute réservation confirmée conformément aux conditions d'annulation de l'Annonce. Si votre accès aux Services de paiement ou votre utilisation de ceux-ci a été limité, suspendu ou que nous avons résilié le présent contrat, vous ne pourrez créer un nouveau compte Airbnb ni essayer d'accéder aux Services de paiement ou de les utiliser au travers d'un compte Airbnb d'un autre Membre.

13.7 Survie. Sauf si vous résidez dans l'EEE, les articles 5 à 20 des présentes Conditions de paiement resteront en vigueur après la résiliation ou fin du présent contrat.

14. Droit applicable et règlement des litiges

14.1 Si vous concluez un contrat avec Airbnb Payments UK, les présentes Conditions de paiement seront interprétées conformément au droit anglais. Si vous agissez en tant que consommateur ou consommatrice et si la réglementation impérative de protection des consommateurs ou consommatrices de votre pays de résidence contient des dispositions qui sont plus avantageuses pour vous, ces dispositions s'appliquent indépendamment du choix du droit anglais. En tant que consommateur ou consommatrice, vous pouvez engager toute procédure judiciaire relative aux présentes Conditions de paiement devant le tribunal compétent de votre adresse de résidence ou devant un tribunal en Angleterre. Si Airbnb souhaite faire valoir ses droits à votre encontre en tant que consommateur ou consommatrice, nous ne pourrons le faire que dans les tribunaux de la juridiction dont vous dépendez. Si vous agissez en tant qu'entreprise, vous acceptez de vous soumettre à la compétence exclusive des tribunaux anglais.

14.2 Si vous concluez un contrat avec Airbnb Payments Luxembourg, les présentes Conditions de paiement seront interprétées conformément au droit luxembourgeois. Si vous agissez en tant que consommateur ou consommatrice et si la réglementation impérative de protection des consommateurs ou consommatrices de votre pays de résidence contient des dispositions qui sont plus avantageuses pour vous, ces dispositions s'appliquent indépendamment du choix du droit luxembourgeois. En tant que consommateur ou consommatrice, vous pouvez engager toute procédure judiciaire relative aux présentes Conditions de paiement devant le tribunal compétent de votre adresse de résidence ou devant un tribunal au Luxembourg. Si Airbnb souhaite faire valoir ses droits à votre encontre en tant que consommateur ou consommatrice, nous ne pourrons le faire que dans les tribunaux de la juridiction dont vous dépendez. Si vous agissez en tant qu'entreprise, vous acceptez de vous soumettre à la compétence exclusive des tribunaux luxembourgeois.

15. Convention d'arbitrage aux États-Unis

15.1 Application. La présente Convention d'arbitrage ne s'applique à vous que si vous signez un contrat avec Airbnb Payment US. Si vous ne concluez pas de contrat avec Airbnb Payments US, et que vous tentez néanmoins de poursuivre une action en justice contre Airbnb Payments aux États-Unis, la présente convention d'arbitrage s'applique pour déterminer le seuil à partir duquel le présent article 15 s'applique à vous, et toutes les autres déterminations de seuil, y compris la résidence, la possibilité d'arbitrage, le lieu et la loi applicable.

15.2 Vue d'ensemble du processus de résolution des litiges. Airbnb Payments s'engage à résoudre les litiges de façon optimale pour les consommateurs ou consommatrices. À cette fin, les présentes Conditions de paiement prévoient un processus en deux parties pour les personnes auxquelles s'applique le présent article 15 : (1) une négociation informelle directement avec l'équipe du service client d'Airbnb (décrite à l'article 15.3), et si nécessaire (2) un arbitrage obligatoire administré par l'American Arbitration Association (« AAA »). Vous et Airbnb Payments conservez chacun le droit de chercher à résoudre le litige devant un tribunal acceptant les actions en recouvrement de petites créances comme alternative à l'arbitrage.

15.3 Résolution des litiges avant arbitrage et notification. Au moins 30 jours avant d'initier une procédure d'arbitrage, vous et Airbnb Payments vous engagez chacun à notifier par écrit le litige à l'autre partie et à tenter de bonne foi de négocier une résolution informelle du litige. Vous devez envoyer votre avis de litige à Airbnb Payments en l'adressant par courrier à l'agent d'Airbnb Payments pour notification : CSC Lawyers Incorporating Service, 2710 Gateway Oaks Drive, Suite 150N, Sacramento, CA 95833. Airbnb Payments enverra son avis de litige à l'adresse e-mail associée à votre compte Airbnb. Une notification de litige doit comprendre : le nom de la partie et ses coordonnées, une brève description du litige et la réparation demandée. Si les parties ne parviennent pas à résoudre le litige dans le délai de 30 jours, alors seulement l'une ou l'autre des parties peut entamer une procédure d'arbitrage en déposant une demande d'arbitrage écrite (disponible sur www.adr.org) auprès de l'AAA et en fournissant une copie à l'autre partie comme le prévoit le règlement de l'AAA (disponible sur www.adr.org).

15.4 Convention d'arbitrage. Vous et Airbnb Payments convenez d'un commun accord que tout litige, réclamation ou différend lié directement ou indirectement aux présentes Conditions de paiement, ou à l'applicabilité, violation, validité, résiliation, application ou interprétation de ces conditions de paiement, ou à toute utilisation des Services de paiement (collectivement, « Litiges ») sera réglé par voie d'arbitrage individuel contraignant (la « Convention d'arbitrage »). Si un litige existe pour savoir si la présente Convention d'arbitrage peut être appliquée ou s'applique à votre litige, Airbnb Payments et vous convenez que l'arbitre décidera de ce problème.

15.5 Exceptions à la Convention d'arbitrage. Vous et Airbnb Payments acceptez chacun que les réclamations et/ou causes d'action suivantes sont des exceptions à la Convention d'arbitrage et seront introduites dans une procédure judiciaire devant un tribunal compétent (tel que défini par l'article 15) : (i) toute réclamation ou cause d'action demandant une mesure injonctive d'urgence basée sur des circonstances urgentes (par exemple, danger imminent ou commission de crime, piratage, cyberattaque) ; ou (ii) une demande de réparation d'une mesure injonctive publique ; ou (iii) toute réclamation individuelle d'agression sexuelle ou de harcèlement sexuel découlant de votre utilisation de la Plateforme Airbnb ou des Services d'hôte. Vous et Airbnb Payments convenez que la mesure injonctive publique se forme après la Convention d'arbitrage de l'ensemble des réclamations, recours ou causes d'action arbitrables, et sera suspendue en attendant le résultat de l'arbitrage conformément à l'article 3 de la Loi fédérale d'arbitrage.

15.6 Règlement d'arbitrage et droit applicable. Cette Convention d'arbitrage atteste d'une transaction de commerce entre États, et la Loi fédérale d'arbitrage régit l'interprétation et l'application de cette disposition sur le fond et la procédure. L'arbitrage sera administré par l'arbitre conformément au règlement d'arbitrage pour les litiges avec les consommateurs et consommatrices et/ou d'autres règlements d'arbitrage AAA considérés comme étant applicable par l'AAA (le « Règlement de l'AAA ») en vigueur, et tels que modifiés par les présentes. Le Règlement de l'AAA est disponible sur www.adr.org. Pour initier une procédure d'arbitrage, une réclamation écrite complétée (disponible sur www.adr.org) doit être déposée auprès de l'AAA et fournie à l'autre partie, comme le prévoit le Règlement de l'AAA.

15.7 Modification du Règlement de l'AAA - Audience/Lieu de l'arbitrage. Pour que l'arbitrage soit le plus commode possible pour vous, Airbnb Payments accepte que toute audience arbitrale requise soit conduite, selon votre choix : (a) dans le comté américain où vous résidez ; (b) dans le comté de San Francisco ; (c) par téléphone ou vidéoconférence. Si le montant en litige est de 5 000 dollars américains ou moins, les parties conviennent de procéder uniquement par remise de documents à l'arbitre.

15.8 Modification du Règlement de l'AAA - Honoraires et frais d'avocat. Vos frais d'arbitrage et votre part de la rémunération de l'arbitre sont régis par le Règlement de l'AAA. Chaque partie peut demander à l'arbitre de condamner l'autre partie à payer les honoraires et frais d'avocat en prouvant que celle-ci a fait valoir une demande, une demande reconventionnelle ou une défense non fondée en fait ou en droit, présentée de mauvaise foi ou dans un but de harcèlement, ou qui est autrement frivole, comme le permettent le droit applicable et le Règlement de l'AAA.

15.9 Décision de l'arbitre. La décision de l'arbitre inclura les constatations et conclusions essentielles sur lesquelles se fonde la sentence. Le jugement de la décision arbitrale pourra être rendu par tout tribunal compétent. L'arbitre peut accorder toute réparation autorisée par la loi ou le Règlement de l'AAA, mais les mesures déclaratoires ou injonctives ne peuvent être accordées qu'au cas par cas et uniquement dans la mesure où elles sont nécessaires pour apporter une réparation justifiée par la demande individuelle du demandeur.

15.10 Renonciation à un procès devant jury. Vous et Airbnb Payments reconnaissez et convenez de renoncer tous deux au droit à un procès devant un jury s'agissant de l'ensemble des litiges pouvant être résolus par arbitrage.

15.11 Renonciation aux actions collectives ou recours collectifs. Dans les limites les plus étendues autorisées par la loi, vous et Airbnb Payments reconnaissez et convenez que chacun renonce au droit de participer en tant que plaignant ou en tant que simple membre du groupe à un recours collectif ou à une action collective, un arbitrage collectif, un recours privé devant le procureur général ou toute autre procédure représentative ou consolidée. Sauf accord écrit, l'arbitre ne pourra pas regrouper les plaintes de plus d'une partie et ne pourra pas accepter d'arbitrer une action collective ou un recours collectif de quelque nature que ce soit. Dans le cas d'une décision judiciaire finale selon laquelle la loi applicable empêche l'application de la renonciation contenue dans ce paragraphe pour les réclamations, les motifs de recours ou les réparations demandées, alors cette réclamation, ce motif de recours ou cette réparation demandée, et seulement cette réclamation, ce motif de recours ou cette réparation demandée, sera séparé de cette Convention d'arbitrage et sera porté devant un tribunal compétent. Dans le cas où une réclamation, un motif de recours ou une réparation demandée est supprimé conformément à ce paragraphe, vous et nous convenons que les réclamations, les motifs de recours ou les réparations demandées qui ne sont pas soumis à une Convention d'arbitrage seront suspendus jusqu'à ce que les réclamations, les motifs de recours et les réparations demandées arbitrables soient résolus par l'arbitre.

15.12 Divisibilité. Sauf dans les cas prévus à l'article 15.11, si une partie de la présente Convention d'arbitrage est jugée illégale ou inapplicable, cette disposition sera supprimée et le reste de la Convention d'arbitrage sera pleinement applicable.

15.13 Modifications à la Convention d'arbitrage. Si Airbnb Payments modifie cet article 15 après la date à laquelle vous avez accepté ces Conditions de paiement (ou accepté tout changement ultérieur de ces conditions de paiement), vous pouvez rejeter ce changement en nous envoyant une notification écrite (y compris par e-mail) dans les trente (30) jours à compter de la date d'entrée en vigueur du changement. Toutefois, refuser une nouvelle modification ne révoquera ni ne modifiera votre consentement antérieur à tout contrat précédemment conclu d'arbitrer tout litige entre vous et Airbnb Payments (ou votre consentement antérieur à toute modification ultérieure de ce contrat), qui restera applicable à tout litige entre vous et Airbnb Payments.

15.14 Survie. Sauf tel que prévu dans l'article 15.12 et sous réserve de l'article 15.7, cet article 15 survivra à toute résiliation des présentes Conditions de paiement et continuera à s'appliquer même si vous cessez d'utiliser les Services de paiement ou résiliez votre compte Airbnb.

16. Divers.

16.1 Interprétation des présentes Conditions de paiement. Sauf tel qu'elles peuvent être complétées par des conditions supplémentaires, politiques, ou normes qui les complètent, les présentes Conditions de paiement constituent l'intégralité du contrat entre Airbnb Payments et vous s'agissant de l'objet des présentes, et remplacent tous les accords et ententes préalables oraux ou écrits entre Airbnb Payments et vous concernant les Services de paiement. Si toute disposition des présentes Conditions de paiement est considérée comme nulle ou inapplicable, ladite disposition sera annulée sans que son annulation n'affecte la validité et l'applicabilité des dispositions restantes.

16.2 Absence de renonciation. Le manquement d'Airbnb Payments à faire appliquer tout droit ou toute disposition des présentes Conditions de paiement ne constituera pas une renonciation audit droit ou à ladite disposition sauf si nous le reconnaissons et en convenons par écrit. Sauf stipulation expresse dans les présentes Conditions, l'exercice par l'une ou l'autre des parties d'un quelconque recours à leurs dispositions sera sans préjudice des autres recours dont elle dispose en vertu des présentes conditions ou de la loi.

16.3 Cession. Vous ne pouvez céder, transférer ni déléguer le présent contrat ainsi que vos droits et obligations en vertu des présentes sans le consentement écrit préalable d'Airbnb Payments. Airbnb Payments peut, sans restriction et à son entière discrétion, céder, transférer ou déléguer le présent contrat et de quelconques droits et obligations au titre des présentes moyennant un préavis de deux (2) mois.

16.4 Notifications. Sauf mention contraire, toutes les notifications ou autres communications autorisées ou requises par le présent contrat devront être effectuées par écrit et remises par Airbnb Payments par e-mail, par notification sur la Plate-forme Airbnb, et en fonction de vos paramètres de notification, par service de messagerie (y compris par SMS et WeChat). La date de réception sera considérée comme la date à laquelle Airbnb Payments transmet la notification.

16.5 Langue. Si vous concluez un contrat avec Airbnb Payments Luxembourg, ce contrat est conclu dans la langue appliquée par les Conditions de service et toutes les communications faites dans le cadre de cette relation contractuelle seront faites dans cette langue.

17. Clauses supplémentaires pour les utilisateurs qui concluent un contrat avec Airbnb Payments UK

Les paragraphes suivants s'appliqueront si vous concluez un contrat avec Airbnb Payments UK :

17.1 Utilisateur du Service de paiement

17.1.1 Les Services de paiement incluent le service de recouvrement des paiements offert aux Hôtes concluant un contrat avec Airbnb Payments UK. Le service de recouvrement des paiements constitue un « Service de paiement » réglementé par les réglementations des Services de paiement et, à ces fins, Airbnb Payments UK traitera les Hôtes comme « utilisateur de service de paiement ».

17.1.2 En acceptant les présentes Conditions de paiement, vous, en tant qu'Hôte, avez consenti au paiement par Airbnb Payments UK de chaque Versement sur votre Mode de versement choisi. Les Hôtes peuvent changer de Mode de versement jusqu'à un (1) jour avant le moment convenu du Versement tel que prévu à l'article 3.3. Airbnb Payments UK sera réputé avoir reçu l'ordre de paiement de l'Hôte à l'Hôte à la date à laquelle Airbnb Payments UK accepte d'initier le Versement conformément à l'article 3.3.

17.1.3 Airbnb Payments UK prendra les mesures nécessaires pour garantir que les Hôtes situés au Royaume-Uni reçoivent chaque Versement avant la fin du jour ouvré suivant l'initiation du Versement par Airbnb Payments UK.

17.1.4 Communication. Airbnb Payments informera l'Hôte par e-mail lorsque chaque Versement est initié. Nous enverrons également une notification à l'adresse e-mail enregistrée d'un Hôte si le Versement nous est renvoyé en raison d'une erreur. Il relève de votre responsabilité en tant qu'Hôte de vous assurer que vous nous avez fourni une adresse e-mail à jour, exacte et valable.

17.2 Procédures de résolution en cas de Versements détournés

17.2.1 Si, en tant qu'Hôte, vous pensez qu'un Versement vous étant dû a été ou pourrait être détourné sans votre autorisation (« Versement détourné »), car votre mot de passe ou d'autres identifiants pour vous connecter à votre compte Airbnb (« Identifiants ») ont été perdus ou volés, vous devez en notifier immédiatement Airbnb Payments UK conformément à l'article 20. En tant qu'Hôte, vous pouvez être responsable de pertes relatives à tout Versement détourné naissant de l'utilisation d'Identifiants perdus, volés ou détournés (y compris la perte d'un téléphone portable sur lequel vous avez installé l'application) ou lorsque vous avez manqué à conserver vos Identifiants en sécurité, jusqu'à un maximum de 35 £. À condition que vous nous ayez notifié de tout Versement détourné sans retard et au plus tard dans les 13 mois suivants la date du paiement, vous pouvez avoir droit au remboursement de ce paiement.

17.2.2 Nous ne serons pas responsables de toute perte résultant de : (i) Versements détournés lorsque vous avez agi frauduleusement ou lorsque, avec intention ou négligence grave, vous n'avez pas utilisé la Plate-forme Airbnb et/ou les Services de paiement en conformité avec les Conditions de service ou ces Conditions de paiement (y compris l'obligation de garder vos Identifiants en sécurité) ; (ii) ou toute transaction de paiement que nous avons facilité conformément aux informations fournies par vous lorsque les informations que vous avez fournies étaient incorrectes.

17.2.3 Si en tant qu'Hôte, vous alléguez ne pas avoir reçu correctement un Versement vous étant dû par le biais du Mode de versement choisi, Airbnb Payments UK s'efforcera immédiatement (sur demande) de retrouver le paiement et vous notifiera du résultat. À moins que nous puissions prouver que le paiement a été reçu par l'intermédiaire du Mode de versement que vous avez choisi, nous rembourserons le montant.

17.2.4 Toute plainte à propos des Services de paiement devra être adressée à Airbnb Payments UK conformément à l'article 20. Les plaintes faites conformément au présent article et relatives à la fourniture des Services de paiement par Airbnb Payments UK pourront être renvoyées devant l'arbitre en charge des questions financières et seront soumises au règlement du service du médiateur en charge des questions financières. Le service britannique du médiateur en charge des questions financières offre un service gratuit de résolution des plaintes aux personnes privées, micro-entreprises, petites organisations caritatives et fiduciaires de petits fonds. Vous pouvez contacter le médiateur en charge des questions financières du Royaume-Uni par (i) téléphone depuis le Royaume-Uni : 0300 123 9123 ou 0800 023 4567 ; depuis les autres pays : +44 20 7964 0500, du lundi au vendredi, de 8 h à 20 h et le samedi de 9 h à 13 h ; (ii) par courrier : Financial Ombudsman Service, Exchange Tower, Londres E14 9SR ; ou (iii) par e-mail : enquiries@financial-ombudsman.org.uk. Le service britannique du médiateur en charge des questions financières est également disponible dans un certain nombre de langues différentes et, si vous en avez besoin, vous serez mis en relation avec un traducteur lorsque vous contacterez ce service.

18. Clauses supplémentaires pour les utilisateurs qui concluent un contrat avec Airbnb Payments UK

Les paragraphes suivants s'appliqueront si vous concluez un contrat avec Airbnb Payments UK :

18.1 Utilisateur du Service de paiement

18.1.1 Les Services de paiement incluent le service de paiement fourni aux Hôtes qui concluent un contrat avec Airbnb Payments Luxembourg. Les Services de paiement constituent des « services de paiement » régis par la loi modifiée du 10 novembre 2009 relative aux services de paiement (« Loi de 2009 »), et pour les besoins de ces services de paiement, Airbnb Payments Luxembourg considère les Hôtes comme « Utilisateur du service de paiement » au sens de la Loi de 2009.

18.1.2 En acceptant les présentes Conditions de paiement, vous consentez, en tant qu'Hôte, à ce qu'Airbnb Payments Luxembourg paie chaque Versement avec le Mode de versement que vous avez choisi. Les Hôtes peuvent changer de Mode de versement jusqu'à un (1) jour avant le moment convenu du Versement tel que prévu à l'article 3.3. Airbnb Payments UK sera réputé avoir reçu l'ordre de paiement de l'Hôte à l'Hôte à la date à laquelle Airbnb Payments UK accepte d'initier le Versement conformément à l'article 3.3.

18.1.3 Dans le cadre de votre relation avec Airbnb Payments Luxembourg, les dispositions légales relatives à la forme et à la procédure d'octroi du consentement à l'initiation d'un ordre de paiement ou à l'exécution d'une transaction de paiement, et de retrait de ce consentement, notamment les articles 81 et 93 de la Loi de 2009 relative aux services de paiement, s'appliquent à tout moment.

18.1.4 Airbnb Payments Luxembourg prendra les mesures nécessaires pour garantir que les Hôtes situés dans l'EEE reçoivent chaque Versement avant la fin du jour ouvré suivant l'initiation du Versement par Airbnb Payments Luxembourg.

18.1.5 Communication. Airbnb Payments informera l'Hôte par e-mail lorsque chaque Versement est initié. Nous enverrons également une notification à l'adresse e-mail enregistrée d'un Hôte si le Versement nous est renvoyé en raison d'une erreur. Il relève de votre responsabilité en tant qu'Hôte de vous assurer que vous nous avez fourni une adresse e-mail à jour, exacte et valable.

18.2 Procédures de résolution en cas de Versements détournés

18.2.1 Si, en tant qu'Hôte, vous pensez qu'un Versement est un Versement détourné, car vos Identifiants ont été perdus ou volés, ou en cas de transaction de paiement non autorisée, ou initiée ou exécutée de manière incorrecte, vous devez en informer immédiatement Airbnb Payments Luxembourg conformément à l'article 20. En tant qu'Hôte, vous pouvez être responsable de pertes relatives à tout Versement détourné naissant de l'utilisation d'Identifiants perdus, volés ou détournés (y compris la perte d'un téléphone portable sur lequel vous avez installé l'application) ou lorsque vous n'avez pas conservé vos identifiants en sécurité, jusqu'à un montant maximum de 50 €. À condition que vous nous ayez informés de tout Versement détourné sans retard et au plus tard dans les 13 mois suivant la date de débit, vous pouvez avoir droit au remboursement de ce paiement.

18.2.2 Nous ne serons pas responsables de toute perte résultant de : (i) Versements détournés lorsque vous avez agi frauduleusement ou lorsque, avec intention ou négligence grave, vous n'avez pas utilisé la Plate-forme Airbnb et/ou les Services de paiement en conformité avec les Conditions de service ou ces Conditions de paiement (y compris l'obligation de garder vos Identifiants en sécurité) ; (ii) ou toute transaction de paiement que nous avons facilité conformément aux informations fournies par vous lorsque les informations que vous avez fournies étaient incorrectes.

18.2.3 Si en tant qu'Hôte, vous alléguez ne pas avoir reçu correctement un Versement vous étant dû par le biais du Mode de versement choisi, Airbnb Payments UK s'efforcera immédiatement (sur demande) de retrouver le paiement et vous notifiera du résultat. À moins que nous puissions prouver que le paiement a été reçu par l'intermédiaire du Mode de versement que vous avez choisi, nous rembourserons le montant.

18.3 Réclamations extrajudiciaires

Toute réclamation, notamment en cas de perte, de vol, de détournement ou d'utilisation non autorisée en rapport avec les Services de paiement, ou d'opérations non autorisées ou erronées, doit être adressée par écrit à Airbnb Payments Luxembourg conformément à l'article 20.

Au cas où vous n'auriez pas reçu de réponse ou de réponse satisfaisante d'Airbnb Payments Luxembourg dans un délai d'un mois à compter de la date d'envoi de la réclamation, vous pouvez adresser votre demande à l'autorité de surveillance d'Airbnb Payments Luxembourg, la CSSF (telle que définie à l'article 20), dans l'année suivant le dépôt de votre réclamation auprès d'Airbnb Payments Luxembourg. • un exposé détaillé et chronologique des faits à la base de la réclamation et des démarches que vous avez déjà entreprises ;
• une copie de la réclamation précédente adressée à Airbnb Payments Luxembourg ;
• une copie de la réponse à la réclamation précédente ou la confirmation que vous n'avez pas reçu de réponse un mois après l'envoi de votre précédente réclamation ;
• la déclaration selon laquelle vous n'avez pas renvoyé l'affaire à un tribunal, à un arbitre ou à un autre organe de résolution extrajudiciaire des litiges au Luxembourg ou à l'étranger ;
• votre accord avec les conditions de traitement des demandes de la CSSF en tant qu'organe responsable du règlement extrajudiciaire de votre réclamation ;
• votre autorisation expresse permettant à la CSSF de transmettre sa demande (y compris les pièces jointes) ainsi que toute correspondance ou information future à Airbnb Payments Luxembourg ;
• dans le cas où une personne agit en votre nom, un document prouvant qu'elle est légalement habilitée à le faire ; et
• une copie de votre document d'identité valide.

18.4. Pour les Voyageurs ayant la France comme pays de résidence.

Nonobstant toute disposition contraire figurant dans les Conditions de paiement, afin d'éliminer tout doute quant aux Voyageurs résidant en France, le Prix total, les Versements ou les Paiements périodiques, incluant les Paiements récurrents, collectés par Airbnb Payments depuis ces Voyageurs sont des acomptes (« Acomptes ») conformément au droit français.

18.5 Externalisation.

Nous faisons appel à divers prestataires (certains appartenant au groupe Airbnb et d'autres étant des prestataires tiers) dans le cadre d'accords d'externalisation pour nous aider à proposer des services de qualité de manière efficace. Le recours à ces prestataires de service nécessite que nous leur transférions ou mettions à leur disposition certaines données. 19.1 Vous acceptez les Conditions de paiement et vous assumez la responsabilité de toute action ou omission de vos employés ou mandataires qui utilisent le service de paiement en votre nom.

19.2 Vous et votre Représentant affirmez individuellement que vous êtes autorisé à fournir les informations décrites aux articles 2.1 et 3.2 et que votre Représentant a le pouvoir de vous engager à respecter les présentes Conditions de paiement. Nous pourrions vous demander des informations ou documents supplémentaires attestant du pouvoir de votre Représentant.

19.3 Vous nous déclarez et garantissez que : (i) votre entreprise est dûment constituée, reconnue et en règle en vertu des lois du pays dans lequel elle a été constituée, et que vous vous enregistrez pour recevoir les Services de paiement ; et (ii) vous avez tous les droits et pouvoirs nécessaires pour conclure le présent contrat, exécuter vos obligations et octroyer les droits, licences et autorisations dans le cadre du présent contrat.

19.4 Si vous utilisez votre Mode de paiement au profit de vos employés ou de tiers autorisés en lien avec Airbnb for Work, comme votre compte le permet, vous autorisez Airbnb Payments à débiter votre Mode de paiement pour toute réservation demandée par des employés de votre société ou autre tiers autorisé.

19.5 Pour tout Mode de versement associé à votre compte Airbnb, vous autorisez Airbnb Payments à enregistrer le Mode de versement, à faire des paiements en utilisant le Mode de versement pour les réservations associées à votre compte Airbnb, et à prendre toute autre mesure autorisée par les Conditions de paiement en lien avec le Mode de versement.

These Payments Terms of Service for Non-European Users (“Payments Terms”) are a binding legal agreement between you and Airbnb Payments that govern the Payment Services (defined below) conducted through or in connection with the Airbnb Platform. When these Payments Terms mention “Airbnb Payments,” “we,” “us,” or “our,” it refers to the Airbnb Payments company you are contracting with for Payment Services.

Airbnb Payments provides payments services to Members publishing, offering and booking Accommodations, Experiences or other Host Services, including services in connection with the Open Homes Program and other current and future services provided via the Airbnb Platform. These payment services may include (if available) the following (collectively, “Payment Services”):

• Collecting payments from Guests (“Payin”), by charging the payment method associated with their Airbnb account, such as credit card, debit card, bank account or PayPal account (“Payment Method”);
• Effecting payments to Hosts (“Payout”) to a financial instrument associated with their Airbnb account, such as a PayPal account, bank account, a prepaid card, or a debit card (“Payout Method”);
• Effecting payments to a third-party Payout Method designated by a Host;
• Collection and payment of charitable donations;
• Payment collection services; and
• Other payment related services in connection with Host Services.

In order to use the Payment Services, you must be at least 18 years old, must have an Airbnb account in good standing in accordance with the Airbnb Terms of Service (“Terms”), and must keep your payment and personal information accurate and complete.

Payment Services will be provided by the contracting entity based on your country of residence subject to any exceptions described below:

If you change your country of residence, the Airbnb company you contract with and the applicable version of the Payment Terms will be determined by your new country of residence from the date on which your country of residence changes. Please note, however, that the Airbnb Payments company with whom you contract will stay the same for all bookings made prior to your change of residence.

The Terms separately govern your use of the Airbnb Platform. If you see an undefined term in these Payment Terms, it has the same definition as in the Terms.

1. Your use of the Payment Services

1.1 Airbnb Payment Services. By using the Payments Services, you agree to comply with these Payments Terms. Airbnb Payments may temporarily limit or suspend your access to or use of the Payment Services, or its features, to carry out maintenance measures that ensure the proper functioning of the Payment Services. Airbnb Payments may improve, enhance and modify the Payment Services and introduce new Payment Services from time to time. Airbnb Payments will provide notice to Members of any changes to the Payment Services, unless such changes do not materially increase the Members’ contractual obligations or decrease the Members’ rights under these Payments Terms.

1.2 Third Party Services. The Payment Services may contain links to third-party websites or resources (“Third-Party Services”). Such Third-Party Services are subject to different terms of service and privacy policies, and Members should review them. Airbnb Payments is not responsible or liable for the use of such Third-Party Services. Links to any Third-Party Services are not an endorsement by Airbnb Payments of those Third-Party Services.

1.3 Your Airbnb Account. Airbnb Payments may enable features that allow you to authorize other Members or third parties to take certain actions that affect your Airbnb account. You may authorize a third party to use your Airbnb account if the feature is enabled for your Airbnb account. You acknowledge and agree that anyone you authorize to use your Airbnb account may use the Payment Services on your behalf and that you will be responsible for any payments made by such person.

1.4 Verification. You authorize Airbnb Payments, directly or through third parties, to make any inquiries we consider necessary to verify your identity and information you provide. This may include (i) screening you against third-party databases or other sources, (ii) requesting reports from service providers, (iii) asking you to provide a form of government identification (e.g., driver’s license or passport), your date of birth, your address, and other information; or (iv) requiring you to take steps to confirm ownership of your email address, Payment Method(s) or Payout Method(s). Airbnb Payments reserves the right to terminate, suspend, or limit access to the Payment Services in the event we are unable to obtain or verify any of this information.

1.5 Additional Terms. Your access to or use of certain Payment Services may be subject to, or require you to accept, additional terms and conditions. If there is a conflict between these Payments Terms and terms and conditions applicable to a specific Payment Service, the latter terms and conditions will take precedence with respect to your use of or access to that Payment Service, unless specified otherwise.

2. Guest Terms

2.1 Adding a Payment Method. When you add a Payment Method to your Airbnb account, you will be asked to provide billing information such as name, billing address, and financial instrument information either to Airbnb Payments or its third-party payment processor(s). You authorize Airbnb Payments and its payment service providers to collect and store your Payment Method information.

2.2 Payment Method Verification. When you add or use a new Payment Method, Airbnb Payments may verify the Payment Method by (i) authorizing your Payment Method for one or two nominal amounts via a payment service provider, and asking you to confirm those amounts, or (ii) requiring you to upload a billing statement. We may, and retain the right to, initiate refunds of these amounts from your Payment Method. When you add a Payment Method during checkout, we will automatically save and add that Payment Method to your Airbnb account so it can be used for a future transaction. You can remove the Payment Method from your Airbnb account as long as it is not associated with an active or future reservation.

2.3 Payment Authorization. You allow Airbnb Payments to charge your Payment Method (including charging more than one payment method), either directly or indirectly, for all fees due (including any applicable taxes) in connection with your Airbnb account.

2.4 Automatic Update of Payment Method. If your Payment Method’s account information changes (e.g., account number, routing number, expiration date) as a result of re-issuance or otherwise, we may acquire that information from our financial services partners or your bank and automatically update your Payment Method on file.

2.5 Timing of Payment. Airbnb Payments generally charges the Total Price due after the Host accepts your booking request. However, if you pay with a push Payment Method (such as Sofort), Airbnb Payments will collect the Total Price due at the time of your booking request or after the Host accepts your booking request. Airbnb Payments may offer alternative options for the timing and manner of payment. Any additional fees for using those alternative payment options will be displayed via the Airbnb Platform and included in the Total Price, and you agree to pay such fees by selecting the payment option. Additional terms and conditions may apply for the use of an alternative payment option. If Airbnb Payments is unable to collect the Total Price due, as scheduled, Airbnb Payments will collect the Total Price due at a later point in accordance with Section 5.3. Once the payment for your requested booking is successfully completed, you will receive a confirmation email.

2.6 Currency. Airbnb Payments will process each transaction in the currency you select via the Airbnb Platform. The currencies available to make payments may be limited for regulatory or operational reasons based on factors such as your selected Payment Method, your country of residence, and/or your Airbnb Payments contracting entity(ies). Any such limitations will be communicated via the Airbnb Platform, and you will be prompted to select a different currency or Payment Method. Note that if your Airbnb Payments contracting entity’s location is different than the country of your Payment Method, or your selected currency is different than your Payment Method's billing currency, your payment may be processed outside of your country of residence. As a result, certain fees may apply and the amount listed on your card statement may be different from the amount shown at checkout. For example, if you make a booking using a U.S. issued card, but select Euro as your currency, your payment may be processed outside the U.S., and banks and credit card companies may impose international transaction fees and foreign exchange fees. In addition, if you select to pay with a currency that is different than your Payment Method's billing currency, your bank or credit card company may convert the payment amount to your billing currency associated with your Payment Method, based on an exchange rate and fee amount determined solely by your bank. Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard. Please contact your bank or credit card company if you have any questions about these fees or the applicable exchange rate.

2.7 Booking Request Status. If a requested booking is declined either because it is not accepted by the Host or you cancel the booking request before it is accepted by the Host, any amounts collected by Airbnb Payments will be refunded to you, and any pre-authorization of your Payment Method will be released (if applicable). The timing to receive the refund or for the pre-authorization to be released will vary based on the Payment Method and any applicable payment system (e.g., Visa, MasterCard, etc.) rules.

2.8 Payment Restrictions. Airbnb Payments reserves the right to decline or limit payments that we believe (i) may violate Airbnb Payments’ risk management policies or procedures, (ii) may violate these Payments Terms or the Terms, (iii) are unauthorized, fraudulent or illegal; or (iv) expose you, Airbnb, Airbnb Payments, or others to risks unacceptable to Airbnb Payments.

2.9 Payment Service Providers. Payment Methods may involve the use of third-party payment service providers. These payment service providers may charge you additional fees when processing payments in connection with the Payment Services, and Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard. Your Payment Method may also be subject to additional terms of use. Please review them before using your Payment Method.

2.10 Your Payment Method, Your Responsibility. Airbnb Payments is not responsible for any loss suffered by you as a result of incorrect Payment Method information provided by you.

2.11 Different Ways to Pay

2.11.1 Payment Plan

2.11.1.1 Airbnb Payments may make available to Guests the option to pay a portion of the booking’s Total Price at the time of booking and pay the remainder of the Total Price at a later time prior to check-in (“Payment Plan”). Availability of this option may depend on the Listing and/or Payment Method.

2.11.1.2 If you choose a Payment Plan, the Airbnb Platform will notify you during check out of the amount, currency and schedule of each payment due. On the following payments due date, Airbnb Payments will automatically charge the original Payment Method you used to make the booking.

2.11.1.3 If you make a modification to a booking made with a Payment Plan, Airbnb Payments will notify you of the revised payment schedule, as applicable. If the modification increases your Total Price, you may be required to make an additional partial payment of the new Total Price at the time of the modification.

2.11.1.4 You agree that by selecting a Payment Plan, you may not be able to pay for the booking with a different Payment Method or pursuant to a different payment schedule.

2.11.1.5 If Airbnb Payments is unable to collect your payment, Airbnb Payments will notify you of such declined payment, and require you to complete the payment using an alternative Payment Method within 72 hours of the notice. If you fail to complete the payment, you authorize Airbnb to cancel the booking on your behalf. If the booking is canceled, you will be refunded based on the Host’s cancellation policy. You acknowledge that you may incur fees for cancellations pursuant to the Host’s cancellation policy.

2.11.2 Recurring Payments

2.11.2.1 For certain bookings (such as for Accommodation bookings of twenty-eight (28) nights or more), Airbnb Payments may require a Guest to make recurring, incremental payments toward the Total Price owed (“Recurring Payments”). More information on Recurring Payments (including the amount and the frequency of payments) will be made available via the Airbnb Platform if applicable to a booking.

2.11.2.2 If Recurring Payments apply to a confirmed booking, then the Guest authorizes Airbnb Payments to collect the Total Price due.

2.11.2.3 Guests may stop a Recurring Payment by notifying Airbnb Payments orally or in writing at least three (3) business days before the scheduled date of the payment. Airbnb Payments may require you to give written confirmation of a stop-payment order within fourteen (14) days of an oral notification. If you fail to provide written confirmation within those fourteen (14) days, Airbnb Payments is not obligated to honor your request to stop any future Recurring Payments. If you have any questions regarding your Recurring Payments, please contact Airbnb Payments.

3. Host Terms

3.1 Payment Collection. Airbnb Payments generally collects the Total Price of a booking at the time the Guest’s booking request is accepted by the Host, unless noted otherwise.

3.2 Valid Payout Method. In order to receive a Payout you must have a valid Payout Method linked to your Airbnb account. When you add a Payout Method to your Airbnb account, you will be asked to provide information such as name, government identification, tax ID, billing address, and financial instrument information either to Airbnb Payments or its third-party payment processor(s). Depending on the Payout Method selected additional information may be required, such as: residential address, name on the account, account type, routing number, account number, email address, payout currency, identification number and account information associated with a particular payment processor. Providing requested information is required for a Payout Method to be valid. The information Airbnb Payments requires for a valid Payout Method may change, and Airbnb Payments may request additional information at any time; failing to provide requested information may result in Airbnb Payments temporarily placing a hold, suspending, or canceling any Payout until the information is provided and, if necessary, validated. You authorize Airbnb Payments to collect and store your Payout Method information. Airbnb Payments may also share your information with governmental authorities as required by applicable law.

3.3 Timing of Payout

3.3.1 Subject to and conditional upon successful receipt of the payments from Guest, Airbnb Payments will generally initiate Payouts to your selected Payout Method: (i) for Accommodations, 24 hours after the Guest’s scheduled check-in time (or 24 hours after 3:00 pm local time - or 3:00 pm UTC if local time is unknown - if the check-in time is flexible or not specified); (ii) for Experiences, 24 hours after the start of the Experience; and (iii) for all other Host Services, at the time specified via the Airbnb Platform. For Accommodation bookings of twenty-eight (28) nights or more, Airbnb Payments will generally initiate the first payout 24 hours after the Guest’s scheduled check-in time, and will initiate future payouts every 30 days after the initial payout, for the duration of the reservation.

3.3.2 Airbnb Payments may offer you a different Payout time or trigger for payment, which may be subject to additional terms and conditions. For example, certain Hosts in China will receive Payouts 48 hours after the Guest’s scheduled check-out time or 7 days after the Guest’s scheduled check-in time, whichever is earlier. Such Payout timeline may be updated once the Host meets certain eligibility criteria. The time it takes to receive Payouts once released by Airbnb Payments may depend upon the Payout Method you select.

3.4 Payout. Your Payout for a booking will be the Total Price less applicable fees like Airbnb service fees and applicable taxes. In the event of cancellation of a confirmed booking, Airbnb Payments will remit the amount you are due (if any) as provided in the Terms and applicable cancellation policy.

3.5 Payout Restrictions. Airbnb Payments may temporarily place a hold, suspend, or cancel any Payout for purposes of preventing unlawful activity or fraud, risk assessment, security, or completing an investigation; or if we are unable to verify your identity, or to obtain or verify requested information. Furthermore, Airbnb Payments may temporarily place a hold on, suspend, or delay initiating or processing any Payout due to you under the Terms as a result of high volume Booking cancellations or modifications arising from a Force Majeure Event (as defined below).

3.6 Currency Conversion. Airbnb Payments will remit your Payouts in the currency you select via the Airbnb Platform. The currencies available may be limited for regulatory or operational reasons based on factors such as your selected Payout Method, your country of residence, and/or your Airbnb contracting entity(ies). Any such limitations will be communicated via the Airbnb Platform, and you will be prompted to select a different currency or Payout Method. Note that payment service providers may impose transaction, currency conversion or other fees based on the currency or Payout Method you select, and Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard.

3.7 Limits on Payouts. For compliance or operational reasons, Airbnb Payments may limit the amount of a Payout. If you are due an amount above that limit, Airbnb Payments may make a series of Payouts (potentially over multiple days) in order to provide your full Payout amount.

3.8 Payment Service Providers. Payout Methods may involve the use of third-party payment service providers. These payment service providers may charge you additional fees when processing Payouts in connection with the Payment Services (including deducting charges from the Payout amount), and Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard. Your Payout Method may also be subject to additional terms of use. Please review them before using your Payout Method.

3.9 Handling of Funds. Airbnb Payments may combine amounts that it collects from Guests and invest them as permitted under applicable laws. Airbnb Payments will retain any interest it earns on those investments.

3.10 Your Payout Method, Your Responsibility. Airbnb Payments is not responsible for any loss suffered by you as a result of incorrect Payout Method information provided by you.

3.11 Different ways to get paid

3.11.1 Split Payouts

If you provide Host Services jointly with one or more other Hosts as part of a team, business or other organization (“Host Team”), Airbnb may make available to such Hosts the option to allocate between the members of the Host Team the total Host Payout for a booking. Airbnb Payments will execute such payments at the instruction of one or more members of the Host Team and is not responsible for any losses related to errors or omissions made by the Hosts in providing such payment instructions.

4. Appointment of Airbnb Payments as Limited Payment Collection Agent

4.1 Each Host, including each Host Team member, hereby appoints Airbnb Payments as the Host’s payment collection agent solely for the limited purpose of accepting and processing funds from Guests purchasing Host Services on the Host’s behalf.

4.2 Each Host, including each Host Team member, agrees that payment made by a Guest through Airbnb Payments, shall be considered the same as a payment made directly to the Host, and the Host will provide the Host Service booked by the Guest in the agreed-upon manner as if the Host has received the payment directly from the Guest. Each Host agrees that Airbnb Payments may refund the Guest in accordance with the Terms. Each Host understands that Airbnb Payments’ obligation to pay the Host is subject to and conditional upon successful receipt of the associated payments from Guest. Airbnb Payments guarantees payments to Host(s) only for such amounts that have been successfully received by Airbnb Payments from Guests in accordance with these Payments Terms. In accepting appointment as the limited payment collection agent of the Host, Airbnb Payments assumes no liability for any acts or omissions of the Host.

4.3 Each Guest acknowledges and agrees that, notwithstanding the fact that Airbnb Payments is not a party to the agreement between you and the Host(s), including each Host Team member, Airbnb Payments acts as each Host’s payment collection agent for the limited purpose of accepting payments from you on behalf of the Host(s). Upon a Guest’s payment of the funds to Airbnb Payments, the Guest’s payment obligation to the Host(s) for the agreed upon amount is extinguished, and Airbnb Payments is responsible for remitting the funds successfully received by Airbnb Payments to the Host(s) in the manner described in these Payments Terms. In the event that Airbnb Payments does not remit any such amounts, the Host(s) will have recourse only against Airbnb Payments and not the Guest directly.

5. General Terms

5.1 Fees. Airbnb Payments may charge fees for use of certain Payment Services and any applicable fees will be disclosed to you in the Terms or via the Airbnb Platform.

5.2 Payment Authorizations. You authorize Airbnb Payments to collect from you amounts due pursuant to these Payment Terms and/or the Terms by either (i) charging the Payment Method associated with the relevant booking, or any other Payment Method on file that you authorize in your Airbnb account (unless you have previously removed the authorization to charge such Payment Method(s)), or (ii) by withholding the amount from your future Payout. Specifically, you authorize Airbnb Payments to collect from you:

• Any amount due to Airbnb or Airbnb Payments (e.g., as a result of your bookings, Booking Modifications, cancellations, or other actions as a Guest, Host or user of the Airbnb Platform), including reimbursement for costs prepaid by Airbnb or Airbnb Payments on your behalf. Any funds collected by Airbnb Payments will set off the amount owed by you to Airbnb or Airbnb Payments and extinguish your obligation to Airbnb or Airbnb Payments.
• Any amount due to a Host from a Guest which Airbnb collects as the Host’s payment collection agent as further set out in Section 4 above.
• Taxes, where applicable and as set out in the Terms.
• Any amount you pay through the Resolution Center in connection with your Airbnb account.
• Overstay penalties payable under the Terms, including any cost and expenses incurred in collecting the overstay penalty.
• Any service fees or cancellation fees imposed pursuant to the Terms (e.g., if, as a Host, you cancel a confirmed booking).
• Any amounts already paid to you as a Host despite a Guest cancelling a confirmed booking or Airbnb deciding that it is necessary to cancel a booking in accordance with the Terms, Guest Refund Policy, Experiences Guest Refund Policy, Extenuating Circumstances Policy, or other applicable cancellation policy. You agree that in the event you have already been paid, Airbnb Payments will be entitled to recover the amount of any such guest refund from you, including by subtracting such refund amount out from any future Payouts due to you.

In addition to any amount due as outlined above, if there are delinquent amounts or chargebacks associated with your Payment Method, you may be charged fees that are incidental to Airbnb Payments collection of these delinquent amounts and chargebacks. Such fees or charges may include collection fees, convenience fees or other third-party charges.

5.3 Collections

5.3.1 If Airbnb Payments is unable to collect any amounts you owe under these Payments Terms, Airbnb Payments may engage in collection efforts to recover such amounts from you.

5.3.2 Airbnb Payments will deem any owed amounts overdue when: (a) for authorized charges, one hundred and twenty (120) days have elapsed after Airbnb Payments first attempts to charge your Payment Method or the associated services have been provided, whichever is later; and (b) for withholdings from a Host’s future Payouts, two hundred and seventy (270) days have elapsed after the adjustment is made to the Host’s Airbnb account or the associated services have been provided, whichever is later.

5.3.3 Airbnb Payments will deem any overdue amounts not collected to be in default when three hundred and sixty five (365) days have elapsed: (a) for authorized charges, after Airbnb Payments first attempts to charge your Payment Method or the associated services have been provided, whichever is later; and (b) for withholdings from a Host’s future Payouts, after the adjustment is made to the Host’s Airbnb account or the associated services have been provided, whichever is later.

5.3.4 You hereby explicitly agree that all communications in relation to amounts owed will be made by electronic mail or by phone, as provided to Airbnb and/or Airbnb Payments by you. Such communications may be made by Airbnb, Airbnb Payments, or by anyone on their behalf, including but not limited to a third-party collection agent.

5.4 Payment Processing Errors

5.4.1 Airbnb Payments will take the necessary steps to rectify any payment processing errors that we become aware of. These steps may include crediting or debiting (as appropriate) the original Payout Method or Payment Method used or selected by you, so that you end up receiving or paying the correct amount. This may be performed by Airbnb Payments or a third party such as your financial institution. We may also take steps to recover funds sent to you in error (including but not limited to an event of duplicate payments made to you due to a processing error), by reducing, setting off and/or debiting the amount of such funds from any future Payouts owed to you.

5.4.2 To the extent you receive any funds in error, you agree to immediately return such funds to Airbnb Payments.

5.5 Refunds

5.5.1 Any refunds or credits due to a Member pursuant to the Terms, Extenuating Circumstances Policy, Guest Refund Policy, and Experiences Guest Refund Policy will be initiated and remitted by Airbnb Payments in accordance with these Payments Terms.

5.5.2 Subject to this Section 5.5.2, Airbnb Payments will process refunds immediately, however, the timing to receive any refund will depend on the Payment Method and any applicable payment system (e.g., Visa, Mastercard, etc.) rules. In the event of a Force Majeure Event that may affect the processing and settlement of refunds, Airbnb Payments will initiate and process the refund as soon as is practicable.

6. Damage Claims and Security Deposits

6.1 If you as a Guest (i) agree to pay the Host in connection with a Damage Claim, or (ii) Airbnb determines that you are responsible for damaging any real or personal property at a Listing pursuant to the Terms, you authorize Airbnb Payments to charge the Payment Method used to make the booking in order to collect any security deposit associated with the Listing, as well as any fees, costs and/or expenses associated with the Damage Claim. If Airbnb Payments is unable to collect from the Payment Method used to make the booking, you agree that Airbnb Payments may charge any other Payment Method on file in your Airbnb account at the time of the Damage Claim (unless you have previously removed the authorization to charge such Payment Method(s)).

6.2 You agree that Airbnb Payments may seek to recover from you under any insurance policies you maintain and that Airbnb Payments may also pursue against you any remedies it may have available, including, but not limited to, in relation to any payment requests made by Hosts under the Airbnb Host Guarantee.

7. Abandoned Property

If Airbnb Payments holds funds due to you (e.g., because we are unable to issue you a Payout or refund) or you do not use a gift card or gift credit for the relevant period of time set forth by your state, country, or other governing body in its unclaimed property laws, we may process the funds due to you in accordance with our legal obligations, including by reporting and escheating (sending) such funds to the appropriate governing body as required by applicable unclaimed property laws.

8. Prohibited Activities

8.1 You are solely responsible for compliance with any and all laws, rules, regulations, and tax obligations that may apply to your use of the Payment Services. In connection with your use of the Payment Services, you may not and you agree that you will not and will not assist or enable others to:

• breach or circumvent any applicable laws or regulations;
• breach or circumvent any agreements with third parties, third-party rights, or the Terms, Policies, or Standards;
• use the Payment Services for any commercial or other purposes that are not expressly permitted by these Payments Terms;
• register or use any Payment Method or Payout Method with your Airbnb account that is not yours or you do not have authorization to use;
• avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Airbnb Payments or any of Airbnb Payments’ providers or any other third party to protect the Payment Services;
• take any action that damages or adversely affects, or could damage or adversely affect, the performance or proper functioning of the Payment Services;
• attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Payment Services; or
• violate or infringe anyone else’s rights or otherwise cause harm to anyone.

8.2 You may not use or assist others to use the Payment Services to send or receive funds: (i) into any United States embargoed countries; or (ii) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Department of Commerce’s Denied Persons List or Entity List. You represent and warrant that: (i) neither you nor your Host Services are located or take place in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. In addition to complying with the above, you must also comply with any relevant export control laws in your local jurisdiction.

9. Force Majeure

Airbnb Payments shall not be liable for any delay or failure to fulfill any obligation under these Payments Terms resulting from causes outside the reasonable control of Airbnb or Airbnb Payments, including, but not limited to, acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics or disease, strikes or shortages of transportation facilities, fuel, energy, labor or materials (“Force Majeure Event”).

10. Disclaimers

10.1 If you choose to use the Payment Services, you do so voluntarily and at your sole risk. To the maximum extent permitted by law, the Payment Services are provided “as is”, without warranty of any kind, either express or implied.

10.2 Notwithstanding Airbnb Payments’ appointment as the limited payment collection agent of Hosts pursuant to Section 4, Airbnb Payments explicitly disclaims all liability for any act or omission of any Member or other third party. Airbnb Payments does not have any duties or obligations as agent for each Host except to the extent expressly set forth in these Payments Terms, and any additional duties or obligations as may be implied by law are, to the maximum extent permitted by applicable law, expressly excluded.

10.3 If we choose to conduct identity verification on any Member, to the extent permitted by applicable law, we disclaim warranties of any kind, either express or implied, that such checks will identify prior misconduct by a Member or guarantee that a Member will not engage in misconduct in the future.

10.4 The foregoing disclaimers apply to the maximum extent permitted by law. You may have other statutory rights or warranties which cannot lawfully be excluded. However, the duration of any statutorily required warranties shall be limited to the maximum extent (if any) permitted by law.

11. Liability

11.1 Except as provided in Section 11.2, you acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of the Payment Services remains with you. If you permit or authorize another person to use your Airbnb account in any way, you are responsible for the actions taken by that person. Neither Airbnb Payments nor any other party involved in creating, producing, or delivering the Payment Services will be liable for any incidental, special, exemplary, or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with (i) these Payments Terms, (ii) from the use of or inability to use the Payment Services, or (iii) from any communications, interactions, or meetings with other Members or other persons with whom you communicate, interact, transact, or meet with as a result of your use of the Payment Services, whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory, and whether or not Airbnb Payments has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose. Except for our obligations to pay amounts to applicable Hosts pursuant to these Payments Terms or an approved payment request under the Airbnb Host Guarantee or Japan Host Insurance, in no event will Airbnb Payments’ aggregate liability arising out of or in connection with these Payments Terms and your use of the Payment Services including, but not limited to, from your use of or inability to use the Payment Services, exceed (i) the amounts you have paid or owe for bookings via the Airbnb Platform as a Guest in the twelve (12) month period prior to the event giving rise to the liability, or if you are a Host, the amounts paid by Airbnb Payments to you in the twelve (12) month period prior to the event giving rise to the liability, or (ii) one hundred U.S. dollars (US$100), if no such payments have been made, as applicable. The limitations of damages set forth above are fundamental elements of the basis of the bargain between Airbnb Payments and you. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. If you reside outside of the U.S., this does not affect Airbnb Payments’ liability for death or personal injury arising from its negligence, nor for fraudulent misrepresentation, misrepresentation as to a fundamental matter, or any other liability which cannot be excluded or limited under applicable law.

11.2 If you reside in Australia and contract with Airbnb Payments Australia, Section 11.1 does not apply, and Airbnb Payments is liable under statutory provisions for intent and gross negligence by us, our legal representatives, directors, or other vicarious agents. The same applies to the assumption of guarantees or any other strict liability, or in case of a culpable injury to life, limb, or health. Airbnb Payments is liable for any negligent breaches of essential contractual obligations by us, our legal representatives, directors, or other vicarious agents; such liability is limited to the typically occurring foreseeable damages. Essential contractual obligations are such duties of Airbnb Payments in whose proper fulfillment you regularly trust and must trust for the proper execution of the contract. Any additional liability of Airbnb Payments is excluded to the maximum extent allowed by applicable law.

12. Indemnification

To the maximum extent permitted by applicable law, you agree to release, defend (at Airbnb Payments’ option), indemnify, and hold Airbnb Payments and its affiliates and subsidiaries, and their officers, directors, employees, and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your breach of these Payments Terms; (ii) your improper use of the Payment Services; (iii) your failure, or our failure at your direction, to accurately report, collect or remit taxes; or (iv) your breach of any laws, regulations, or third-party rights.

13. Modification, Term, Termination, and other Measures

13.1 Modification. Except as otherwise required by applicable law, Airbnb Payments may modify these Payments Terms at any time. If we make material changes to these Payment Terms, we will post the revised Payment Terms on the Airbnb Platform and update the “Last Updated” date at the top of these Payment Terms. If you are affected by the modification, we will also provide you with notice of the modifications at least thirty (30) days before the date they become effective. If you are contracting with Airbnb Payments UK, or Airbnb Payments Australia, you will receive at least two (2) months advance notice. If you do not terminate your agreement before the date the revised Payment Terms become effective, your continued use of the Payment Services will constitute acceptance of any changes to the revised Payments Terms.

13.2 Term. This agreement between you and Airbnb Payments reflected by these Payment Terms is effective when you create an Airbnb account or use the Payment Services and remains in effect until either you or we terminate this agreement in accordance with Section 13.3.

13.3 Termination. You may terminate this agreement at any time by sending us an email or by deleting your Airbnb account. Terminating this agreement will also serve as notice to cancel your Airbnb account pursuant to the Terms. Without limiting our rights specified below, Airbnb Payments may terminate this agreement for convenience at any time by giving you thirty (30) days' notice via email to your registered email address (or two (2) months’ prior notice for Members contracting with Airbnb Payments UK). Airbnb Payments may also terminate this agreement immediately without notice if (i) you have materially breached your obligations under this agreement; (ii) you have provided inaccurate, fraudulent, outdated, or incomplete information; (iii) you have violated applicable laws, regulations, or third-party rights; or (iv) Airbnb Payments believes in good faith that such action is reasonably necessary to protect other Members, Airbnb, Airbnb Payments, or third parties.

13.4 Suspension and Other Measures. Airbnb Payments may limit or temporarily or permanently suspend your use of or access to the Payment Services (i) to comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body, (ii) if you have breached these Payments Terms, the Terms, applicable laws, regulations or third-party rights, (iii) if you have provided inaccurate, fraudulent, outdated, or incomplete information regarding a Payment Method or Payout Method, (iv) for any amounts you owe under these Payments Term that are overdue or in default, or (v) if Airbnb Payments believes in good faith that such action is reasonably necessary to protect the personal safety or property of Airbnb, its Members, Airbnb Payments, or third parties, or to prevent fraud or other illegal activity. Further, for unsuccessful payment due to card expiration, insufficient funds, or otherwise, we may temporarily suspend your access to the Payment Services until we can charge a valid Payment Method

13.5 Appeal. If Airbnb Payments takes any of the measures described in Section 13.3 and 13.4 you may appeal such a decision by contacting customer service.

13.6 Effect of Termination. If you cancel your Airbnb account as a Host or Airbnb Payments takes any of the measures described above, Airbnb Payments may provide a full refund to any Guests with confirmed booking(s), and you will not be entitled to any compensation for pending or confirmed bookings that were cancelled. If you cancel your Airbnb account as a Guest, Airbnb Payments will initiate a refund for any confirmed booking(s) based on the Listing’s cancellation policy. If your access to or use of the Payment Services has been suspended or limited or this agreement has been terminated by us, you may not register a new Airbnb account or attempt to access and use the Payment Services through an Airbnb account of another Member.

13.7 Survival. Sections 5 through 20 of these Payments Terms shall survive any termination or expiration of this agreement.

14. Governing Law and Dispute Resolution

14.1 If you are contracting with Airbnb Payments US, these Payments Terms will be interpreted in accordance with the laws of the State of California and the United States of America, without regard to conflict-of-law provisions. Legal proceedings (other than small claims actions) that are excluded from the Arbitration Agreement in Section 15 must be brought in state or federal court in San Francisco, California, unless we both agree to some other location. You and we both consent to venue and personal jurisdiction in San Francisco, California.

14.2 If you are contracting with Airbnb China, these Payments Terms will be governed by and construed in accordance with the laws of the People’s Republic of China (“China Laws”). In this situation, any dispute arising from or in connection with these Payments Terms or use of the Payment Services shall be submitted to the China International Economic and Trade Arbitration Commission (“CIETAC”) for arbitration which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties. The tribunal shall consist of three (3) arbitrators. The seat of the arbitration shall be Beijing. The language of the arbitration shall be English. This section does not limit any rights which Airbnb Payments may have to apply to any court of competent jurisdiction for an order requiring you to perform or be prohibited from performing certain acts and other provisional relief permitted under China Laws or any other laws that may apply to you.

14.3 If you are contracting with Airbnb Payments UK, these Payments Terms will be interpreted in accordance with English law. If you are acting as a consumer and if mandatory statutory consumer protection regulations in your country of residence contain provisions that are more beneficial for you, such provisions shall apply irrespective of the choice of English law. As a consumer, you may bring any judicial proceedings relating to these Payments Terms before the competent court of your place of residence or a court in England. If Airbnb wishes to enforce any of its rights against you as a consumer, we may do so only in the courts of the jurisdiction in which you are a resident. If you are acting as a business, you agree to submit to the exclusive jurisdiction of the English courts.

14.4 If you are contracting with Airbnb Payments India, these Payments Terms will be interpreted in accordance with the laws of India. Any dispute arising from or in connection with these Payments Terms must be submitted to the International Chamber of Commerce (“ICC”) for arbitration in New Delhi, which shall be the seat and venue of arbitration. Such arbitration shall be conducted in accordance with the arbitration rules of the ICC in effect at the time of applying for arbitration, provided that this section shall not be construed to limit any rights which Airbnb Payments may have to apply to any court of competent jurisdiction for an order requiring you to perform or be prohibited from performing certain acts and other provisional relief permitted under the laws of India or any other laws that may apply to you. In the event one or more of the parties to the dispute are non-resident, the parties agree to exclude (for the avoidance of any doubt) the applicability of the provisions of Part I (save and except Section 9, Section 27, Section 37(1)(a) and Section 37(3) thereof) of the Indian Arbitration and Conciliation Act 1996 to any arbitration under this section. The arbitration proceedings shall be conducted in English. The arbitral award rendered is final and binding upon both parties. Each party shall bear its own costs in relation to the arbitration.

14.5 If you are contracting with Airbnb Payments Australia, these Payments Terms will be governed by the laws of the State of New South Wales, Australia. The parties agree to submit to the non-exclusive jurisdiction of the courts of that State and courts of appeal of that State in respect of any proceedings arising out of or in connection with this agreement.

14.6 If you are contracting with Airbnb Payments Brazil, these Payments Terms will be interpreted in accordance with the laws of Brazil. If you are acting as a consumer, judicial proceedings that you are able to bring against us arising from or in connection with these Payments Terms may only be brought in a court located in the city of Sao Paulo, State of Sao Paulo, Brazil or in a court with jurisdiction in your place of residence. If you are acting as a business, you agree to submit to the exclusive jurisdiction of a court located in the city of Sao Paulo, State of Sao Paulo, Brazil.

15. United States Arbitration Agreement

15.1 Application. This Arbitration Agreement only applies to you if you are contracting with Airbnb Payment US. If you are not contracting with Airbnb Payments US, and you nevertheless attempt to bring any legal claim against Airbnb Payments in the United States, this Arbitration Agreement will apply for determination of the threshold issue of whether this Section 15 applies to you, and all other threshold determinations, including residency, arbitrability, venue, and applicable law.

15.2 Overview of Dispute Resolution Process. Airbnb Payments is committed to participating in a consumer-friendly dispute resolution process. To that end, these Payment Terms provide for a two-part process for individuals to whom this Section 15 applies: (1) an informal negotiation directly with Airbnb’s customer service team (described in paragraph 15.3, below), and if necessary (2) a binding arbitration administered by the American Arbitration Association (“AAA”). You and Airbnb Payments each retain the right to seek relief in small claims court as an alternative to arbitration

15.3 Mandatory Pre-Arbitration Dispute Resolution and Notification. At least 30 days prior to initiating an arbitration, you and Airbnb Payments each agree to notify the other party of the dispute in writing and attempt in good faith to negotiate an informal resolution. You must send your notice of dispute to Airbnb Payments by mailing it to Airbnb Payments’ agent for service: CSC Lawyers Incorporating Service, 2710 Gateway Oaks Drive, Suite 150N, Sacramento, California 95833. Airbnb Payments will send its notice of dispute to the email address associated with your Airbnb account. A notice of dispute must include: the party’s name and preferred contact information, a brief description of the dispute, and the relief sought. If the parties are unable to resolve the dispute within the 30-day period, only then may either party commence arbitration by filing a written Demand for Arbitration (available at www.adr.org) with the AAA and providing a copy to the other party as specified in the AAA Rules (available at www.adr.org).

15.4 Agreement to Arbitrate. You and Airbnb Payments mutually agree that any dispute, claim or controversy arising out of or relating to these Payments Terms or the applicability, breach, termination, validity, enforcement or interpretation thereof, or any use of the Payment Services (collectively, “Disputes”) will be settled by binding individual arbitration (the “Arbitration Agreement”). If there is a dispute about whether this Arbitration Agreement can be enforced or applies to our Dispute, you and Airbnb Payments agree that the arbitrator will decide that issue.

15.5 Exceptions to Arbitration Agreement. You and Airbnb Payments each agree that the following causes of action and/or claims for relief are exceptions to the Arbitration Agreement and will be brought in a judicial proceeding in a court of competent jurisdiction (as defined by Section 15): (i) any claim or cause of action seeking emergency injunctive relief based on exigent circumstances (e.g., imminent danger or commission of a crime, hacking, cyber-attack); or (ii) a request for the remedy of public injunctive relief. You and Airbnb Payments agree that the remedy of public injunctive relief will proceed after the arbitration of all arbitrable claims, remedies, or causes of action, and will be stayed pending the outcome of the arbitration pursuant to section 3 of the Federal Arbitration Act.

15.6 Arbitration Rules and Governing Law. This Arbitration Agreement evidences a transaction in interstate commerce and the Federal Arbitration Act governs all substantive and procedural interpretation and enforcement of this provision. The arbitration will be administered by AAA in accordance with the Consumer Arbitration Rules and/or other AAA arbitration rules determined to be applicable by the AAA (the “AAA Rules”) then in effect, except as modified here. The AAA Rules are available at www.adr.org. In order to initiate arbitration, a completed written demand (available at www.adr.org) must be filed with the AAA and provided to the other party, as specified in the AAA rules.

15.7 Modification to AAA Rules - Arbitration Hearing/Location. In order to make the arbitration most convenient to you, Airbnb Payments agrees that any required arbitration hearing may be conducted, at your option: (a) in the U.S county where you reside; (b) in San Francisco County; (c) via phone or video conference; or (d) if all parties agree, by solely the submission of documents to the arbitrator.

15.8 Modification of AAA Rules - Attorney’s Fees and Costs. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, Airbnb Payments will pay all arbitration fees and expenses. Either party may make a request that the arbitrator award attorneys’ fees and costs upon proving that the other party has asserted a claim, cross-claim or defense that is groundless in fact or law, brought in bad faith or for the purpose of harassment, or is otherwise frivolous, as allowed by applicable law and the AAA Rules.

15.9 Arbitrator’s Decision. The arbitrator’s decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court with proper jurisdiction. The arbitrator may award any relief allowed by law or the AAA Rules, but declaratory or injunctive relief may be awarded only on an individual basis and only to the extent necessary to provide relief warranted by the claimant’s individual claim.

15.10 Jury Trial Waiver. You and Airbnb Payments acknowledge and agree that we are each waiving the right to a trial by jury as to all arbitrable Disputes.

15.11 No Class Actions or Representative Proceedings. You and Airbnb Payments acknowledge and agree that, to the fullest extent permitted by law, we are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, class-wide arbitration, private attorney general action, or any other representative or consolidated proceeding. Unless we agree in writing, the arbitrator may not consolidate more than one party’s claims and may not otherwise preside over any form of any class or representative proceeding. If there is a final judicial determination that applicable law precludes enforcement of the waiver contained in this paragraph as to any claim, cause of action or requested remedy, then that claim, cause of action or requested remedy, and only that claim, cause of action or requested remedy, will be severed from this agreement to arbitrate and will be brought in a court of competent jurisdiction. In the event that a claim, cause of action or requested remedy is severed pursuant to this paragraph, then you and we agree that the claims, causes of action or requested remedies that are not subject to arbitration will be stayed until all arbitrable claims, causes of action and requested remedies are resolved by the arbitrator.

15.12 Severability. Except as provided in Section 15.11, in the event that any portion of this Arbitration Agreement is deemed illegal or unenforceable, such provision shall be severed and the remainder of the Arbitration Agreement will be given full force and effect.

15.13 Changes to Agreement to Arbitrate. If Airbnb Payments changes this Section 15 after the date you last accepted these Payments Terms (or accepted any subsequent changes to these Payments Terms), you may reject that change by sending us written notice (including by email) within thirty (30) days of the date the change is effective. Rejecting a new change, however, does not revoke or alter your prior consent to any earlier agreements to arbitrate any Dispute between you and Airbnb Payments (or your prior consent to any subsequent changes thereto), which will remain in effect and enforceable as to any Dispute between you and Airbnb Payments.

15.14 Survival. Except as provided in Section 15.12 and subject to Section 13.7, this Section 15 will survive any termination of these Payments Terms and will continue to apply even if you stop using the Payment Services or terminate your Airbnb account.

16. Miscellaneous

16.1 Interpreting these Payments Terms. Except as they may be supplemented by additional terms and conditions, policies, guidelines, or standards, these Payments Terms constitute the entire agreement between Airbnb Payments and you regarding the subject matter hereof, and supersede any and all prior oral or written understandings or agreements between Airbnb Payments and you regarding the Payment Services. If any provision of these Payments Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

16.2 No Waiver. Airbnb Payments’ failure to enforce any right or provision in these Payments Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. Except as expressly set forth in these Payments Terms, the exercise by either party of any of its remedies under these Payments Terms will be without prejudice to its other remedies under these Payments Terms or otherwise permitted under law.

16.3 Assignment. You may not assign, transfer, or delegate this agreement or your rights and obligations hereunder without Airbnb Payments’ prior written consent. Airbnb Payments may without restriction assign, transfer, or delegate this agreement and any rights and obligations, at its sole discretion, with thirty (30) days’ prior notice (or two (2) months’ prior notice for Members contracting with Airbnb Payments UK).

16.4 Notices. Unless specified otherwise, any notices or other communications permitted or required under this agreement, will be in writing and given by Airbnb Payments via email or Airbnb Platform notification, and depending on your notification setting, messaging service (including SMS and WeChat). The date of receipt will be deemed the date on which Airbnb Payments transmits the notice.

17. Additional Clauses for Users Contracting with Airbnb Payments UK

The following paragraphs will apply if you are contracting with Airbnb Payments UK:

17.1 Payment Service User

17.1.1 The Payment Services include the payment collection service provided to Hosts contracting with Airbnb Payments UK. The payment collection service constitutes a “payment service” regulated under the Payment Services Regulations and for these purposes Airbnb Payments UK treats Hosts as the “payment service user.”

17.1.2 By agreeing to these Payments Terms you as a Host have consented to Airbnb Payments UK’s payment of each Payout to your chosen Payout Method. Hosts may change a Payout Method up to one (1) day before the time agreed for the Payout as set out in Section 3.3. Airbnb Payments UK will be deemed to have received the Host's payment order to the Host on the same date Airbnb Payments UK agrees to initiate the Payout in accordance with Section 3.3

17.1.3 Airbnb Payments UK will endeavor to ensure that Hosts based in the UK will receive each Payout by the end of the business day following Airbnb Payments UK’s initiation of the Payout.

17.1.4 Communication. Airbnb Payments will provide the Host notice via email when we initiate each Payout. We will also provide notice to a Host’s registered email address if the Payout is returned to us because of an error. It is your responsibility as a Host to ensure that you provide us with a current, accurate, and valid email address.

17.2 Resolution Procedures for Diverted Payouts

17.2.1 If you as a Host believe that a Payout properly due to you has been or may be diverted without your permission (“Diverted Payout”) because your password or other credentials to log into your Airbnb account (“Credentials”) are lost or stolen, you should notify Airbnb Payments UK pursuant to Section 20 immediately. As a Host you may be liable for losses relating to any Diverted Payout arising from the use of lost, stolen, or misappropriated Credentials (including the loss of a mobile phone on which you have installed the Application) or where you have failed to keep your Credentials safe, up to a maximum of £50. Provided that you notify us of any Diverted Payout without delay and at the very latest within 13 months of the date of the payment, you may be entitled to a refund of that payment.

17.2.2 We will not be liable for any loss arising from: (i) Diverted Payouts where you acted fraudulently or where, with intent or gross negligence, you failed to use the Airbnb Platform and/or Payment Services in accordance with the Terms or these Payments Terms (including the obligation to keep your Credentials safe); (ii) or any payout transaction which we facilitated in accordance with information provided by you where the information you provided was incorrect.

17.2.3 If you as Host claim not to have received a Payout properly due to you via your chosen Payout Method, Airbnb Payments UK will (if requested) make immediate efforts to trace the payment and will notify you of the outcome. Unless we can prove that the payment was received by you via your chosen Payout Method, we will refund the amount.

17.2.4 Any complaints about the Payment Services should be made to Airbnb Payments UK pursuant to Section 20. Complaints that are made in accordance with this section that relate to the provision of Payment Services by Airbnb Payments UK will be eligible for referral to the Financial Ombudsman and will be subject to the Rules of the Financial Ombudsman Service. The UK Financial Ombudsman Service offers a free complaints resolution service to individuals, micro-enterprises, small charities, and trustees of small trusts. You can contact the UK Financial Ombudsman by (i) telephone from inside the UK: 0300 123 9123 or 0800 023 4567; from other countries: +44 20 7964 0500, on Monday to Friday, 8am to 8pm and on Saturday 9am to 1pm; (ii) post: South Quay Plaza, 183 Marsh Wall, London E14 9SR; or (iii) email: enquiries@financial-ombudsman.org.uk. The UK Financial Ombudsman Service is also available in a number of different languages and if you need it you will be put in touch with a translator when you contact the UK Financial Ombudsman Service.

17.3 For Hosts and Guests with Mexico As Country of Residence

If Mexico is your country of residence, (i) upon successful receipt of payment from the Guest following a Host's acceptance of the Guest’s booking request, Airbnb Payments generally holds such funds due to the Host in temporary custody until it is released to the Host in accordance with Section 3.3.1, and (ii) the payment to the Host will be effective only upon the start of the Host's Services and in accordance with Section 3.3.1. Airbnb may be required to withhold taxes per applicable local laws, and such taxes will be due upon Airbnb Payment’s release of the Host Payout.

18. Additional Clauses for Users Contracting with Airbnb Payments Brazil

The following paragraph will apply if you are contracting with Airbnb Payments Brazil:

18.1 Installment Feature for Users with Brazil As Country of Residence

Section 2, “Guest Terms”, shall be amended by adding the following subsection: “You acknowledge that if your country of residence is Brazil and you are paying by credit card, you may pay for your booking in multiple installments as long as your credit card supports installments and is issued in Brazil. The number of installments may vary, but will be presented to you before you complete your booking transaction. You acknowledge that the Total Price may be increased when you choose to pay for your booking in installments. Your use of the installment feature may be subject to additional terms and conditions imposed by the applicable third-party payment service provider.”

18.2 Depending on the country of residence of guests and hosts, payments due to hosts and applicable fees like Airbnb Service Fees may require the execution of foreign exchange agreements or other related measures, as per applicable legislation.

18.3 If you are a resident in Brazil, by using the Payment Services you acknowledge and agree that Airbnb Payments Brazil acts as an agent of the Airbnb entity providing Airbnb Services to you and that you are contracting international services provided by such entity, as set forth in the Terms.

18.4 You authorize Airbnb Payments Brazil, directly or through third parties, to make any inquiries we consider necessary to verify your identity. This may include (i) screening you against third-party databases or other sources, (ii) requesting reports from service providers, (iii) asking you to provide a form of government identification (e.g., driver’s license or passport), tax ID, your date of birth, your address, and other information; or (iv) requiring you to take steps to confirm ownership of your email address, Payment Method(s) or Payout Method(s). Airbnb Payments Brazil reserves the right to terminate, suspend, or limit access to the Payment Services in the event we are unable to obtain or verify any of this information.

18.5 When processing payments from a Member, Airbnb Payments Brazil (and/or third parties contracted by it) may retain and/or report to the competent authorities (when applicable) information relating to the Member and/or the respective transaction to comply with applicable legislation and certain regulatory controls, and prevention of money laundering activities.

19. Additional Clauses for Users that are Businesses

The following paragraphs also apply if you are using the Payment Services as a representative (“Representative”) acting on behalf a business, company or other legal entity (in such event, for purposes of the Payments Terms, “you” and “your” will refer and apply to that business, company or other legal entity).

19.1 You accept the Payment Terms and you will be responsible for any act or omission of employees or third-party agents using the Payment Service on your behalf.

19.2 You and your Representative individually affirm that you are authorized to provide the information described in Section 2.1 and Section 3.2 and your Representative has the authority to bind you to these Payments Terms. We may require you to provide additional information or documentation demonstrating your Representative’s authority.

19.3 You represent and warrant to us that: (i) you are duly organized, validly existing and in good standing under the laws of the country in which your business is registered and that you are registering for receiving the Payment Services; and (ii) you have all requisite right, power, and authority to enter into this agreement, perform your obligations, and grant the rights, licenses, and authorizations in this agreement.

19.4 If you are using your Payment Method for the benefit of your employees or other authorized third-party in connection with Airbnb for Work, as permitted by your account, you authorize Airbnb Payments to charge your Payment Method for bookings requested by employees at your company or other permitted third-party.

19.5 For any Payout Method linked to your Airbnb account, you authorize Airbnb Payments to store the Payout Method, remit payments using the Payout Method for bookings associated with your Airbnb account and take any other action as permitted in the Payments Terms in respect of the Payout Method.

19.6 If you handle, store or otherwise process payment card information on behalf of anyone or any third-party, you agree to comply on an ongoing basis with applicable data privacy and security requirements under the current Payment Card Industry Data Security Standard with regards to the use, access, and storage of such credit card information. Payments Terms of Service for Australian Users

If your country of residence or establishment is within Australia, these Payments Terms for Australian Users (“Payments Terms”) are subject to the Australian Consumer Law. Our services come with guarantees that cannot be excluded under the Australian Consumer Law and other Australian laws. These Payments Terms (including clauses 10.1, 10.2, 11 and 12) apply to the maximum extent permitted by Australian law, including the Australian Consumer Law.

If you attempt to bring any legal claim against Airbnb Payments in the United States, the arbitration agreement and class actions waiver in Section 15 apply to you. Please read them carefully.

The Airbnb Terms of Service (“Terms”) govern your use of the Airbnb Platform. Capitalized terms not defined in these Payments Terms have the meaning ascribed to them in the Terms

When these Payments Terms mention “Airbnb Payments,” “we,” “us,” or “our,” it refers to:

Airbnb Payments UK Ltd. (“Airbnb Payments UK”), except when you book a Host Service, in which case you are contracting with Airbnb Payments Australia Pty Ltd (“Airbnb Payments Australia”).

Airbnb Payments provides payments services to Members publishing, offering and booking Accommodations, Experiences or other Host Services, including services in connection with the Open Homes Program and other current and future services provided via the Airbnb Platform. These payment services may include (if available) the following (collectively, “Payment Services”):

• Collecting payments from Guests (“Payin”), by charging the payment method associated with their Airbnb account, such as credit card, debit card, bank account or PayPal account (“Payment Method”);
• Effecting payments to Hosts (“Payout”) to a financial instrument associated with their Airbnb account, such as a PayPal account, bank account, a prepaid card, or a debit card (“Payout Method”);
• Effecting payments to a third-party Payout Method designated by a Host;
• Collection and payment of charitable donations;
• Payment collection services; and
• Other payment related services in connection with Host Services.

In order to use the Payment Services, you must be at least 18 years old, must have an Airbnb account in good standing in accordance with the Terms, and must keep your payment and personal information accurate and complete.

If you change your country of residence, the Airbnb company you contract with and the applicable version of the Payments Terms will be determined by your new country of residence from the date on which your country of residence changes. Please note, however, that the Airbnb Payments company with whom you contract will stay the same for all bookings made prior to your change of residence.

1. Your use of the Payment Services

1.1 Airbnb Payment Services. By using the Payments Services, you agree to comply with these Payments Terms. Airbnb Payments may temporarily limit or suspend your access to or use of the Payment Services, or its features, to carry out maintenance measures that ensure the proper functioning of the Payment Services. Airbnb Payments may improve, enhance and modify the Payment Services and introduce new Payment Services from time to time. Airbnb Payments will provide reasonable notice to Members of any changes to the Payment Services, unless such changes do not materially increase the Members’ contractual obligations or decrease the Members’ rights under these Payments Terms.

1.2 Third Party Services. The Payment Services may contain links to third-party websites or resources (“Third-Party Services”). Such Third-Party Services are subject to different terms of service and privacy policies, and Members should review them. Airbnb Payments is not responsible or liable for the use of such Third-Party Services. Links to any Third-Party Services are not an endorsement by Airbnb Payments of those Third-Party Services.

1.3 Your Airbnb Account. Airbnb Payments may enable features that allow you to authorize other Members or third parties to take certain actions that affect your Airbnb account. You may authorize a third party to use your Airbnb account if the feature is enabled for your Airbnb account. You acknowledge and agree that anyone you authorize to use your Airbnb account may use the Payment Services on your behalf and that you will be responsible for any payments made by such person.

1.4 Verification. You authorize Airbnb Payments, directly or through third parties, to make any inquiries we consider necessary to verify your identity and information you provide. This may include (i) screening you against third-party databases or other sources, (ii) requesting reports from service providers, (iii) asking you to provide a form of government identification (e.g., driver’s license or passport), your date of birth, your address, and other information; or (iv) requiring you to take steps to confirm ownership of your email address, Payment Method(s) or Payout Method(s). Airbnb Payments reserves the right to terminate, suspend, or limit access to the Payment Services in the event we are unable to obtain or verify any of this information.

1.5 Additional Terms. Your access to or use of certain Payment Services may be subject to you first having to agree to or to accept (expressly or by conduct) additional terms and conditions, including those of third party providers of Payment Services. If there is a conflict between these Payments Terms and terms and conditions applicable to a specific Payment Service, the terms and conditions applicable to the specific Payment Service will take precedence with respect to your use of or access to that Payment Service, unless specified otherwise in the terms and conditions applicable to the specific Payment Service.

2. Guest Terms

2.1 Adding a Payment Method. When you add a Payment Method to your Airbnb account, you will be asked to provide billing information such as name, billing address, and financial instrument information either to Airbnb Payments or its third-party payment processor(s). You authorize Airbnb Payments and its payment service providers to collect and store your Payment Method information.

2.2 Payment Method Verification. When you add or use a new Payment Method, Airbnb Payments may verify the Payment Method by (i) authorizing your Payment Method for one or two nominal amounts via a payment service provider, and asking you to confirm those amounts, or (ii) requiring you to upload a billing statement. We may, and retain the right to, initiate refunds of these amounts from your Payment Method. When you add a Payment Method during checkout, we will automatically save and add that Payment Method to your Airbnb account so it can be used for a future transaction. You may not remove the Payment Method associated with a reservation, during the period commencing from the date of your booking and ending fourteen (14) days following your check-out date, nor during any additional period of time needed to resolve any outstanding Damage Claim associated with such booking.

2.3 Payment Authorization. You allow Airbnb Payments to charge your Payment Method (including charging more than one payment method), either directly or indirectly, for all fees due (including any applicable taxes) in connection with your Airbnb account, including Damage Claim amounts in accordance with the Terms and with Section 6.

2.4 Automatic Update of Payment Method. If your Payment Method’s account information changes (e.g., account number, routing number, expiration date) as a result of re-issuance or otherwise, we may acquire that information from our financial services partners or your bank and automatically update your Payment Method on file.

2.5 Timing of Payment. Airbnb Payments generally charges the Total Price due after the Host accepts your booking request. However, if you pay with a push Payment Method (such as Sofort), Airbnb Payments will collect the Total Price due at the time of your booking request or after the Host accepts your booking request. Airbnb Payments may offer alternative options for the timing and manner of payment. Any additional fees for using those alternative payment options will be displayed via the Airbnb Platform and included in the Total Price, and you agree to pay such fees by selecting the payment option. Additional terms and conditions may apply for the use of an alternative payment option. If Airbnb Payments is unable to collect the Total Price due, as scheduled, Airbnb Payments will collect the Total Price due at a later point in accordance with Section 5.3. Once the payment for your requested booking is successfully completed, you will receive a confirmation email.

2.6 Currency.

2.6.1 You are able to select your currency in your settings. The currencies available to make payments may be limited for regulatory or operational reasons based on factors such as your selected Payment Method, your country of residence and/or your Airbnb Payments contracting entity(ies). Any such limitations will be communicated via the Airbnb Platform, and you will be prompted to select a different currency or Payment Method if your preferred currency is not available.

2.6.2. Note that if the country in which your Airbnb Payments contracting entity is located is different from the country of your Payment Method provider or the preferred currency in your settings is different than your Payment Method's billing currency, your payment may be processed outside of your country of residence. As a result, your Payment Method provider may impose certain fees and the amount listed on your Payment Method statement may be different from the amount shown at checkout. For example, if you make a booking using an Australian issued card, but the preferred currency in your settings is set to US dollars, your payment may be processed outside Australia, and banks and credit card companies may impose international transaction fees and foreign exchange fees. In addition, if the preferred currency in your settings is different from your Payment Method's billing currency, your bank or credit card company may convert the payment amount to your billing currency associated with your Payment Method, based on an exchange rate and fee amount determined solely by your bank. Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard. Please contact your Payment Method provider if you have any questions about these fees or any exchange rate imposed by your Payment Method provider.

2.7 Booking Request Status. If a requested booking is declined because it is not accepted by the Host, you cancel the booking request before it is accepted by the Host, or Airbnb cancels the booking, any amounts collected by Airbnb Payments and due to you pursuant to the policies described in Section 5.5 will be refunded to you, and any pre-authorization of your Payment Method will be released (if applicable) in accordance with Section 5.5.2.

2.8 Payment Restrictions. Airbnb Payments reserves the right to decline or limit payments that we reasonably believe (i) may violate Airbnb Payments’ risk management policies or procedures, (ii) may violate these Payments Terms or the Terms, (iii) are unauthorized, fraudulent or illegal; or (iv) expose you, Airbnb, Airbnb Payments, or others to risks reasonably unacceptable to Airbnb Payments.

2.9 Payment Service Providers. Payment Methods may involve the use of third-party payment service providers. These payment service providers may charge you additional fees when processing payments in connection with the Payment Services, and Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard. Your Payment Method may also be subject to additional terms of use. Please review them before using your Payment Method.

2.10 Your Payment Method, Your Responsibility. Airbnb Payments is not responsible for any loss suffered by you as a result of incorrect Payment Method information provided by you.

2.11 Different Ways to Pay

2.11.1 Payment Plan

2.11.1.1 Airbnb Payments may make available to Guests the option to pay a portion of the booking’s Total Price at the time of booking and pay the remainder of the Total Price at a later time prior to check-in (“Payment Plan”). Availability of this option may depend on the Listing and/or Payment Method.

2.11.1.2 If you choose a Payment Plan, the Airbnb Platform will notify you during check out of the amount, currency and schedule of each payment due. On the following payments due date, Airbnb Payments will automatically charge the original Payment Method you used to make the booking.

2.11.1.3 If you make a modification to a booking made with a Payment Plan, Airbnb Payments will notify you of the revised payment schedule, as applicable. If the modification increases your Total Price, you may be required to make an additional partial payment of the new Total Price at the time of the modification.

2.11.1.4 You agree that by selecting a Payment Plan, you may not be able to pay for the booking with a different Payment Method or pursuant to a different payment schedule.

2.11.1.5 If Airbnb Payments is unable to collect your payment, Airbnb Payments will notify you of such declined payment, and require you to complete the payment using an alternative Payment Method within 72 hours of the notice. If you fail to complete the payment, you authorize Airbnb to cancel the booking on your behalf. If the booking is canceled, you will be refunded based on the Host’s cancellation policy. You acknowledge that you may incur fees for cancellations pursuant to the Host’s cancellation policy as displayed on the Listing page at the time of booking.

2.11.2 Recurring Payments

2.11.2.1 For certain bookings (such as for Accommodation bookings of twenty-eight (28) nights or more), Airbnb Payments may require a Guest to make recurring, incremental payments toward the Total Price owed (“Recurring Payments”). More information on Recurring Payments (including the amount and the frequency of payments) will be made available via the Airbnb Platform if applicable to a booking.

2.11.2.2 If Recurring Payments apply to a confirmed booking, then the Guest authorizes Airbnb Payments to collect the Total Price due.

2.11.2.3 Guests may stop a Recurring Payment by notifying Airbnb Payments orally or in writing at least three (3) business days before the scheduled date of the payment. Airbnb Payments may require you to give written confirmation of a stop-payment order within fourteen (14) days of an oral notification. If you fail to provide written confirmation within those fourteen (14) days, Airbnb Payments is not obligated to honor your request to stop any future Recurring Payments. If you have any questions regarding your Recurring Payments, please contact Airbnb Payments.

2.12 Buy now, pay later. Airbnb may from time to time offer the facility for Guests to buy Host Services on credit and pay for them over time ('buy now, pay later') using credit provided by a third-party credit provider. This Payment Method will be subject to additional terms of use, creating a contract and a debtor/creditor relationship between you as borrower and the credit provider as lender. Please review them before using this Payment Method.

3. Host Terms

3.1 Payment Collection. Airbnb Payments generally collects the Total Price of a booking at the time the Guest’s booking request is accepted by the Host, unless noted otherwise.

3.2 Valid Payout Method. In order to receive a Payout you must have a valid Payout Method linked to your Airbnb account. When you add a Payout Method to your Airbnb account, you will be asked to provide information, which may include name, government identification, tax identification, billing address, and financial instrument information either to Airbnb Payments or its third-party payment processor(s). Depending on the Payout Method selected additional information may be required, such as: residential address, name on the account, account type, routing number, account number, email address, payout currency, identification number and account information associated with a particular payment processor. Providing requested information is required for a Payout Method to be valid. The information Airbnb Payments requires for a valid Payout Method may change, and Airbnb Payments may request additional information at any time; failing to provide requested information may result in Airbnb Payments temporarily placing a hold, suspending, or canceling any Payout until the information is provided and, if necessary, validated. You authorize Airbnb Payments to collect and store your Payout Method information. Airbnb Payments may also share your information with governmental authorities as required by applicable law.

3.3 Timing of Payout

3.3.1 Subject to and conditional upon successful receipt of the payments from Guest, Airbnb Payments will generally initiate Payouts to your selected Payout Method: (i) for Accommodations, 24 hours after the Guest’s scheduled check-in time (or 24 hours after 3:00 pm local time - or 3:00 pm UTC if local time is unknown - if the check-in time is flexible or not specified); (ii) for Experiences, 24 hours after the start of the Experience; and (iii) for all other Host Services, at the time specified via the Airbnb Platform. For Accommodation bookings of twenty-eight (28) nights or more, Airbnb Payments will generally initiate the first payout 24 hours after the Guest’s scheduled check-in time, and will initiate future payouts every 30 days after the initial payout, for the duration of the reservation.

3.3.2 Airbnb Payments may offer you a different Payout time or trigger for payment, which may be subject to additional terms and conditions.The time it takes to receive Payouts once released by Airbnb Payments may depend upon the Payout Method you select.

3.4 Payout. Your Payout for a booking will be the Total Price less applicable fees like Airbnb service fees and applicable taxes. In the event of cancellation of a confirmed booking, Airbnb Payments will remit the amount you are due (if any) as provided in the Terms and applicable cancellation policy.

3.5 Payout Restrictions. Airbnb Payments may temporarily place a hold, suspend, or cancel any Payout for purposes of preventing unlawful activity or fraud, risk assessment, security, or completing an investigation; or if we are unable to verify your identity, or to obtain or verify requested information. Furthermore, Airbnb Payments may temporarily place a hold on, suspend, or delay initiating or processing any Payout due to you under the Terms as a result of high volume Booking cancellations or modifications arising from a Force Majeure Event (as defined below).

3.6 Currency Conversion. Airbnb Payments will remit your Payouts in the currency you select via the Airbnb Platform. The currencies available may be limited for regulatory or operational reasons based on factors such as your selected Payout Method, your country of residence, and/or your Airbnb contracting entity(ies). Any such limitations will be communicated via the Airbnb Platform, and you will be prompted to select a different currency or Payout Method. Note that payment service providers may impose transaction, currency conversion or other fees based on the currency or Payout Method you select, and Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard.

3.7 Limits on Payouts. For compliance or operational reasons, Airbnb Payments may limit the amount of a Payout. If you are due an amount above that limit, Airbnb Payments may make a series of Payouts (potentially over multiple days) in order to provide your full Payout amount.

3.8 Payment Service Providers. Payout Methods may involve the use of third-party payment service providers. These payment service providers may charge you additional fees when processing Payouts in connection with the Payment Services (including deducting charges from the Payout amount), and Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard. Your Payout Method may also be subject to additional terms of use from such third-party payment service providers. Please review them before using your Payout Method.

3.9 Handling of Funds. Airbnb Payments may combine amounts that it collects from Guests and invest them as permitted under applicable laws. Airbnb Payments will retain any interest it earns on those investments.

3.10 Your Payout Method, Your Responsibility. Airbnb Payments is not responsible for any loss suffered by you as a result of incorrect Payout Method information provided by you.

3.11 Different ways to get paid

3.11.1 Split Payouts If you provide Host Services jointly with one or more other Hosts as part of a team, business or other organization (“Host Team”), Airbnb may make available to such Hosts the option to allocate between the members of the Host Team the total Host Payout for a booking. Airbnb Payments will execute such payments at the instruction of one or more members of the Host Team and is not responsible for any losses related to errors or omissions made by the Hosts in providing such payment instructions.

4. Appointment of Airbnb Payments as Limited Payment Collection Agent

4.1 Each Host, including each Host Team member, hereby appoints Airbnb Payments as the Host’s payment collection agent solely for the limited purpose of accepting and processing funds from Guests purchasing Host Services on the Host’s behalf.

4.2 Each Host, including each Host Team member, agrees that payment made by a Guest through Airbnb Payments, shall be considered the same as a payment made directly to the Host, and the Host will provide the Host Service booked by the Guest in the agreed-upon manner as if the Host has received the payment directly from the Guest. Each Host agrees that Airbnb Payments may refund the Guest in accordance with the Terms. Each Host understands that Airbnb Payments’ obligation to pay the Host is subject to and conditional upon successful receipt of the associated payments from Guest. Airbnb Payments guarantees payments to Host(s) only for such amounts that have been successfully received by Airbnb Payments from Guests in accordance with these Payments Terms. In accepting appointment as the limited payment collection agent of the Host, Airbnb Payments assumes no liability for any acts or omissions of the Host, except for acts or omissions the Host is directed to engage in by Airbnb Payments.

4.3 Each Guest acknowledges and agrees that, notwithstanding the fact that Airbnb Payments is not a party to the agreement between you and the Host(s), including each Host Team member, Airbnb Payments acts as each Host’s payment collection agent for the limited purpose of accepting payments from you on behalf of the Host(s). Upon a Guest’s payment of the funds to Airbnb Payments, the Guest’s payment obligation to the Host(s) for the agreed upon amount is extinguished, and Airbnb Payments is responsible for remitting the funds successfully received by Airbnb Payments to the Host(s) in the manner described in these Payments Terms. In the event that Airbnb Payments does not remit any such amounts, the Host(s) will have recourse only against Airbnb Payments and not the Guest directly.

4.4 At no point in time is Airbnb Payments holding funds on behalf of the Guest or providing the Guest a payment service.

5. General Terms

5.1 Fees. Airbnb Payments may charge fees for use of certain Payment Services and any applicable fees will be disclosed to you in the Terms or via the Airbnb Platform prior to being charged.

5.2 Payment Authorizations. You authorize Airbnb Payments to collect from you amounts due pursuant to these Payments Terms and/or the Terms by either (i) charging the Payment Method associated with the relevant booking, or any other Payment Method on file that you authorize in your Airbnb account (unless you have previously removed the authorization to charge such Payment Method(s)), or (ii) by withholding the amount from your future Payout. Specifically, you authorize Airbnb Payments to collect from you:

• Any amount due to Airbnb or Airbnb Payments (e.g., as a result of your bookings, Booking Modifications, cancellations, or other actions as a Guest, Host or user of the Airbnb Platform), including reimbursement for costs prepaid by Airbnb or Airbnb Payments on your behalf. Any funds collected by Airbnb Payments will set off the amount owed by you to Airbnb or Airbnb Payments and extinguish your obligation to Airbnb or Airbnb Payments.
• Any amount due to a Host from a Guest which Airbnb collects as the Host’s payment collection agent as further set out in Section 4 above.
• Taxes, where applicable and as set out in the Terms.
• Any amount you pay through the Resolution Center in connection with your Airbnb account.
• Any Damage Claim amounts owed to Airbnb or Airbnb Payments in accordance with the Terms and Section 6.
• Overstay penalties payable under the Terms, including any cost and expenses incurred in collecting the overstay penalty.
• Any service fees or cancellation fees imposed pursuant to the Terms (e.g., if, as a Host, you cancel a confirmed booking).
• Any amounts already paid to you as a Host despite a Guest canceling a confirmed booking or Airbnb deciding that it is necessary to cancel a booking in accordance with the Terms, Rebooking and Refund Policy, Experiences Guest Refund Policy, Extenuating Circumstances Policy, Luxe Rebooking and Refund Policy, or other applicable cancellation policy. You agree that in the event you have already been paid, Airbnb Payments will be entitled to recover the amount of any such guest refund from you, including by subtracting such refund amount out from any future Payouts due to you.

If you owe an amount at any time after a booking, such as with Payment Plan or Recurring Payment charges, Booking Modifications, resolution center payments or Damage Claims (“Additional Amounts”), you authorize Airbnb Payments to collect payments for such Additional Amounts by charging your Payment Method associated with the relevant booking without any further action on your part. Airbnb Payments will notify you in writing before any Additional Amounts are charged.

If your Payment Method associated with the relevant booking is expired, invalid or otherwise not able to be charged for any reason (such as insufficient funds), you remain responsible for any uncollected amounts and Airbnb Payments may charge the Payment Method related to your booking again or use any other Payment Method on file associated with your Airbnb account, if available, to collect such Additional Amounts. Any amount not collected for any reason will be subject to any remedies that may be available, including, but not limited to, referral to a collections agency, or pursuit of available causes of action or claims against you.

If Airbnb has reason to believe that you as a Host participated in fraudulent activity, such as an overpayment scam, booking fraud or other fraud, and Airbnb Payments released the payout for such stay, Airbnb Payments may recoup from you such amount by reducing, setting off or debiting the amount from any future Payouts owed to you.

In addition to any amount due as outlined above, if there are amounts which you owe us but are unpaid or chargebacks associated with your Payment Method, you may be charged fees or costs for reasonable steps taken by Airbnb and/or Airbnb Payments to collect, recover or process these amounts and chargebacks (“Collection Fees”). The Collection Fees will be limited to: (a) reasonable costs directly incurred by Airbnb Payments and/or Airbnb (such as costs associated with the time our personnel spend collecting, recovering or processing the relevant amounts); and (b) collection fees, convenience fees or other fees or costs that are charged to Airbnb Payments and/or Airbnb by third parties.

5.3 Collections

5.3.1 If Airbnb Payments is unable to collect any amounts you owe under the Terms and these Payments Terms, Airbnb Payments may engage in collection efforts to recover such amounts from you.

5.3.2 Airbnb Payments will deem any owed amounts overdue when: (a) for authorized charges, one hundred and twenty (120) days have elapsed after Airbnb Payments first attempts to charge your Payment Method or the associated services have been provided, whichever is later; and (b) for withholdings from a Host’s future Payouts, two hundred and seventy (270) days have elapsed after the adjustment is made to the Host’s Airbnb account or the associated services have been provided, whichever is later.

5.3.3 Airbnb Payments will deem any overdue amounts not collected to be in default when three hundred and sixty five (365) days have elapsed: (a) for authorized charges, after Airbnb Payments first attempts to charge your Payment Method or the associated services have been provided, whichever is later; and (b) for withholdings from a Host’s future Payouts, after the adjustment is made to the Host’s Airbnb account or the associated services have been provided, whichever is later.

5.3.4 You hereby explicitly agree that all communications in relation to amounts owed will be made by electronic mail or by phone, as provided to Airbnb and/or Airbnb Payments by you. Such communications may be made by Airbnb, Airbnb Payments, or by anyone on their behalf, including but not limited to a third-party collection agent.

5.4 Payment Processing Errors

5.4.1 Airbnb Payments will take the necessary steps to rectify any payment processing errors that we become aware of. These steps may include crediting or debiting (as appropriate) the original Payout Method or Payment Method used or selected by you, so that you end up receiving or paying the correct amount. This may be performed by Airbnb Payments or a third party such as your financial institution. We may also take steps to recover funds sent to you in error (including but not limited to an event of duplicate payments made to you due to a processing error), by reducing, setting off and/or debiting the amount of such funds from any future Payouts owed to you.

5.4.2 To the extent you receive any funds in error, you agree to promptly return such funds to Airbnb Payments after you become aware that you have received such funds in error.

5.5 Refunds

5.5.1 Any refunds or credits due to a Member pursuant to the Terms, Extenuating Circumstances Policy, Rebooking and Refund Policy, Experiences Guest Refund Policy, and Luxe Rebooking and Refund Policy, will be initiated and remitted by Airbnb Payments in accordance with these Payments Terms.

5.5.2 Subject to this Section 5.5.2, Airbnb Payments will initiate the refund process immediately. In the case of a cancellation by a Host, Airbnb Payments will hold the funds for up to 72 hours until the Guest is either refunded or the funds are used to rebook with another Host. In certain instances, the refund process may include the option to receive credit in lieu of a cash refund; if this option is made available to you, the timing of your refund will be communicated via the Airbnb Platform. The time it takes to receive any cash refund or for any pre-authorization of your Payment Method to be released will vary based on the Payment Method and any applicable payment system (e.g., Visa, Mastercard, etc.) rules. In the event of a Force Majeure Event that may affect the processing and settlement of refunds, Airbnb Payments will initiate and process the refund as soon as is practicable.

6. Damage Claims and Damage Amounts

6.1 If you are responsible for Damage Claim amounts, pursuant to Section 15 of the Terms, Airbnb via Airbnb Payments may, with your prior authorization, charge the Payment Method used to make the booking or any other payment method on file in your Airbnb account at the time of the Damage Claim in order to collect the Damage Claim amounts, up to a maximum amount as defined in Section 15 of the Terms.

6.2 To the maximum extent permitted by law, you agree that Airbnb Payments may seek to recover from you under any insurance policies you maintain and that Airbnb Payments may also pursue against you any remedies it may have available, including, but not limited to, referral to a collections agency, or pursuit of causes of action or claims against you, including in relation to a Damage Claim, or payment requests made by Hosts under the Host Damage Protection.

7. Abandoned Property

If Airbnb Payments holds funds due to you (e.g., because we are unable to issue you a Payout or refund) or you do not use a gift card or gift credit for the relevant period of time set forth by your state, country, or other governing body in its unclaimed property laws, we may process the funds due to you in accordance with our legal obligations, including by reporting and escheating (sending) such funds to the appropriate governing body as required by applicable unclaimed property laws.

8. Prohibited Activities

8.1 You are solely responsible for compliance with any and all laws, rules, regulations, and tax obligations that may apply to your use of the Payment Services. In connection with your use of the Payment Services, you may not and you agree that you will not and will not assist or enable others to:

• breach or circumvent any applicable laws or regulations;
• breach or circumvent any agreements with third parties, third-party rights, or the Terms, Additional Legal Terms, Policies, or Standards;
• use the Payment Services for any commercial or other purposes that are not expressly permitted by these Payments Terms;
• register or use any Payment Method or Payout Method with your Airbnb account that is not yours or you do not have authorization to use;
• avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Airbnb Payments or any of Airbnb Payments’ providers or any other third party to protect the Payment Services;
• take any action that damages or adversely affects, or could damage or adversely affect, the performance or proper functioning of the Payment Services;
• attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Payment Services; or
• violate or infringe anyone else’s rights or otherwise cause harm to anyone.

8.2 You may not use or assist others to use the Payment Services to send or receive funds: (i) into any United States embargoed countries; or (ii) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals, the U.S. Department of Commerce’s Denied Persons List or Entity List, UK Sanctions List and HM Treasury Department Consolidated List, United Nations Consolidated List or European Union Consolidated List. You represent and warrant that: (i) neither you nor your Host Services are located or take place in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government, UK or European Union list of prohibited or restricted parties. In addition to complying with the above, you must also comply with any relevant export control laws in your local jurisdiction.

9. Force Majeure

As between Airbnb and a Member, neither shall be liable to the other for any delay or failure to perform resulting from causes outside their reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemics or disease, strikes or shortages of transportation facilities, fuel, energy, labor or materials (“Force Majeure Event”). For the avoidance of doubt, this clause does not: (i) apply to a Reservation, which is subject to the Host’s cancellation policy and the Extenuating Circumstances Policy; or (ii) operate to extend deadlines applicable to a Resolution Centre Request, a Host Damage Protection claim, an Aircover for guests claim, a Travel Issue under the Rebooking and Refund Policy or Luxe Rebooking and Refund Policy, or an Experiences Issue under the Experiences Guest Refund Policy, or other requests, claims or reporting under similar policies that are incorporated by reference into these Terms.

10. Disclaimers

10.1 If you choose to use the Payment Services, you do so voluntarily and at your sole risk. To the maximum extent permitted by law, the Payment Services are provided “as is”, without warranty of any kind, either express or implied.

10.2 Notwithstanding Airbnb Payments’ appointment as the limited payment collection agent of Hosts pursuant to Section 4, Airbnb Payments explicitly disclaims all liability for any act or omission of any Member or other third party. Airbnb Payments does not have any duties or obligations as agent for each Host except to the extent expressly set forth in these Payments Terms, and any additional duties or obligations as may be implied by law are, to the maximum extent permitted by applicable law, expressly excluded.

10.3 If we choose to conduct identity verification on any Member, to the extent permitted by applicable law, we disclaim warranties of any kind, either express or implied, that such checks will identify prior misconduct by a Member or guarantee that a Member will not engage in misconduct in the future.

10.4 The foregoing disclaimers apply to the maximum extent permitted by law. You may have other statutory rights or warranties which cannot lawfully be excluded. However, the duration of any statutorily required warranties shall be limited to the maximum extent (if any) permitted by law.

11. Liability

11.1 You acknowledge and agree that, to the maximum extent permitted by law, the risk arising out of your access to and use of the Payment Services remains with you. If you permit or authorize another person to use your Airbnb account in any way, you are responsible for the actions taken by that person. To the maximum extent permitted by law, no party, including Airbnb’s affiliates and personnel, or any other party involved in or delivering the Payment Services will be liable for any incidental, special, exemplary, or consequential damages. Incidental, special, exemplary or consequential damages, include, to the maximum extent permitted by law, lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services. Neither is Airbnb Payments liable nor any other party liable, to the extent permitted by law, for any damages for personal or bodily injury or emotional distress arising out of or in connection with (i) these Payments Terms, (ii) from the use of or inability to use the Payment Services, or (iii) from any communications, interactions, or meetings with other Members or other persons with whom you communicate, interact, transact, or meet with as a result of your use of the Payment Services, whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory, and whether or not Airbnb Payments has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose.

11.2 Except for: (i) Airbnb’s obligation to pay amounts to applicable Hosts pursuant to these Payments Terms; (ii) Airbnb’s obligation to make payments under the Airbnb Host Damage Protection, which contains its own limitation of liability; and/or (iii) Airbnb Payments’ wilful breach of these Terms, to the maximum extent permitted by law, in no event shall Airbnb Payments’ aggregate liability arising out of or in connection with these Payments Terms and your use of the Payment Services including, but not limited to, from your use of or inability to use the Payment Services, exceed (A) to Guests, three (3) times the amount you paid for the relevant Reservation(s) giving rise to the liability, or (B) to Hosts, three (3) times the amount paid to you for the relevant Reservation(s) giving rise to the liability. The limitations of damages set forth above are fundamental elements of the basis of the bargain between Airbnb Payments and you.

11.3 Except in the case of a Member’s wilful breach of these Terms, to the maximum extent permitted by law, in no event shall a Member’s liability to Airbnb or any other party involved in creating, producing, or delivering the Airbnb Platform or any Content for any claim or dispute arising out of or in connection with these Payments Terms, interaction with any Member, or your use of or inability to use the Airbnb Platform, any Content, or any Host Service exceed: (A) in the case of Guests, three (3) times the amount you paid for the relevant Reservation(s) giving rise to the liability, or (B) in the case of Hosts, three (3) times the amount paid to you for the relevant Reservation(s) giving rise to the liability.

12. Indemnification

To the maximum extent permitted by applicable law, you agree to release, defend (at Airbnb Payments’ option), indemnify, and hold Airbnb (including Airbnb Payments, other affiliates and subsidiaries, and their officers, directors, employees, and agents) harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of (i) your breach of these Payments Terms (including any supplemental or additional terms that apply to a product or feature) or our Additional Legal Terms, Policies, or Standards; (ii) your improper use of the Payment Services; (iii) your failure, or our failure at your direction, to accurately report, collect or remit Taxes; or (iv) your breach of any laws, regulations, or third-party rights, such as intellectual property or privacy rights. The indemnification obligation only applies if and to the extent that the claims, liabilities, damages, losses, and expenses have been adequately caused by your negligence or breach of a contractual obligation.

13. Modification, Term, Termination, and other Measures

13.1 Modification. Airbnb Payments may modify these Payments Terms at any time. If we make material changes to these Payments Terms, we will post the revised Payments Terms on the Airbnb Platform and update the “Last Updated” date at the top of these Payments Terms. If you are affected by the modification, we will also provide you with notice of the modifications at least two (2) months before the date they become effective. If you do not terminate your agreement before the date the revised Payments Terms become effective, your continued use of the Payment Services will constitute acceptance of any changes to the revised Payments Terms.

13.2 Term. This agreement between you and Airbnb Payments reflected by these Payments Terms is effective when you create an Airbnb account or use the Payment Services and remains in effect until either you or we terminate this agreement in accordance with Section 13.3.

13.3 Termination. You may terminate this agreement at any time by sending us an email or by deleting your Airbnb account. Terminating this agreement will also serve as notice to cancel your Airbnb account pursuant to the Terms. Without limiting our rights specified below, Airbnb Payments may terminate this agreement for convenience at any time by giving you thirty (30) days' notice via email to your registered email address (or two (2) months’ prior notice for Members contracting with Airbnb Payments UK). Airbnb Payments may also terminate this agreement immediately without notice if (i) you have materially breached your obligations under this agreement; (ii) you have provided inaccurate, fraudulent, outdated, or incomplete information; (iii) you have violated applicable laws, regulations, or third-party rights; or (iv) Airbnb Payments believes in good faith that such action is reasonably necessary to protect other Members, Airbnb, Airbnb Payments, or third parties. In case of non-material breaches or where otherwise reasonable, you will be given reasonable notice of any actions that Airbnb proposes to take and an opportunity to remedy the non-material breach (if it is capable of remedy) unless such notification would (i) prevent or impede the detection or prevention of fraud or other illegal activities, (ii) harm the legitimate interests of other Members or third parties, or (iii) contravene applicable laws.

13.4 Suspension and Other Measures. Airbnb Payments may limit or temporarily or permanently suspend your use of or access to the Payment Services (i) to comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body, (ii) if you have materially breached these Payments Terms, the Terms, applicable laws, regulations or third-party rights, (iii) if you have provided inaccurate, fraudulent, outdated, or incomplete information regarding a Payment Method or Payout Method, (iv) for any amounts you owe under these Payments Term that are overdue or in default, or (v) if Airbnb Payments believes in good faith that such action is reasonably necessary to protect the personal safety or property of Airbnb, its Members, Airbnb Payments, or third parties, or to prevent fraud or other illegal activity. Further, for unsuccessful payment due to card expiration, insufficient funds, or otherwise, we may temporarily suspend your access to the Payment Services until we can charge a valid Payment Method.

13.5 Appeal. If Airbnb Payments takes any of the measures described in Section 13.3 you may appeal such a decision by contacting customer service.

13.6 Effect of Termination. If you cancel your Airbnb account as a Host or Airbnb Payments takes any of the measures described above, Airbnb Payments may provide a full refund to any Guests with confirmed booking(s), and you will not be entitled to any compensation for pending or confirmed bookings that were cancelled. If you cancel your Airbnb account as a Guest, Airbnb Payments will initiate a refund for any confirmed booking(s) based on the Listing’s cancellation policy. If your access to or use of the Payment Services has been suspended or limited or this agreement has been terminated by us, you may not register a new Airbnb account or attempt to access and use the Payment Services through an Airbnb account of another Member.

13.7 Survival. Sections 1.2, 2.2, 2.3, 2.4, 2.5, 2.6, 2.7, 2.8, 2.9, 2.10, 2.11, 3, 4, 5, 6, 7, 8, 9, 10, 11, 12, 13, 14, 15, 16, 17 and 19, survive expiry or termination, together with any other terms that, by reasonable implication or to give them efficacy are, or are intended, to be performed in whole or in part after the expiry or termination of this agreement.

14. Governing Law and Dispute Resolution

14.1 If you are contracting with Airbnb Payments UK, these Payments Terms will be interpreted in accordance with English law. If you are acting as a consumer and if mandatory statutory consumer protection regulations in your country of residence contain provisions that are more beneficial for you, such provisions shall apply irrespective of the choice of English law. As a consumer, you may bring any judicial proceedings relating to these Payments Terms before the competent court of your place of residence or a court in England. If Airbnb wishes to enforce any of its rights against you as a consumer, we may do so only in the courts of the jurisdiction in which you are a resident. If you are acting as a business, you agree to submit to the exclusive jurisdiction of the English courts.

14.2 If you are contracting with Airbnb Payments Australia, these Payments Terms will be governed by the laws of the State of New South Wales, Australia. The parties agree to submit to the non-exclusive jurisdiction of the courts of that State and courts of appeal of that State in respect of any proceedings arising out of or in connection with this agreement.

15. United States Arbitration Agreement

15.1 Application. This Arbitration Agreement only applies to you if you are contracting with Airbnb Payment US. If you are not contracting with Airbnb Payments US, and you nevertheless attempt to bring any legal claim against Airbnb Payments in the United States, this Arbitration Agreement will apply for determination of the threshold issue of whether this Section 15 applies to you, and all other threshold determinations, including residency, arbitrability, venue, and applicable law.

15.2 Overview of Dispute Resolution Process. Airbnb Payments is committed to participating in a consumer-friendly dispute resolution process. To that end, these Payments Terms provide for a two-part process for individuals to whom this Section 15 applies: (1) an informal negotiation directly with Airbnb’s customer service team (described in Section 15.3), and if necessary (2) a binding arbitration administered by the American Arbitration Association (“AAA”). You and Airbnb Payments each retain the right to seek resolution of the dispute in small claims court as an alternative to arbitration.

15.3 Mandatory Pre-Arbitration Dispute Resolution and Notification. At least 30 days prior to initiating an arbitration, you and Airbnb Payments each agree to notify the other party of the dispute in writing and attempt in good faith to negotiate an informal resolution. You must send your notice of dispute to Airbnb Payments by mailing it to Airbnb Payments’ agent for service: CSC Lawyers Incorporating Service, 2710 Gateway Oaks Drive, Suite 150N, Sacramento, California 95833. Airbnb Payments will send its notice of dispute to the email address associated with your Airbnb account. A notice of dispute must include: the party’s name and preferred contact information, a brief description of the dispute, and the relief sought. If the parties are unable to resolve the dispute within the 30-day period, only then may either party commence arbitration by filing a written Demand for Arbitration (available at www.adr.org) with the AAA and providing a copy to the other party as specified in the AAA Rules (available at www.adr.org).

15.4 Agreement to Arbitrate. You and Airbnb Payments mutually agree that any dispute, claim or controversy arising out of or relating to these Payments Terms or the applicability, breach, termination, validity, enforcement or interpretation thereof, or any use of the Payment Services (collectively, “Disputes”) will be settled by binding individual arbitration (the “Arbitration Agreement”). If there is a dispute about whether this Arbitration Agreement can be enforced or applies to our Dispute, you and Airbnb Payments agree that the arbitrator will decide that issue.

15.5 Exceptions to Arbitration Agreement. You and Airbnb Payments each agree that the following causes of action and/or claims for relief are exceptions to the Arbitration Agreement and will be brought in and will be brought in a judicial proceeding in state or federal court in San Francisco, California, unless we both agree to some other location: (i) any claim or cause of action seeking emergency injunctive relief based on exigent circumstances (e.g., imminent danger or commission of a crime, hacking, cyber-attack); (ii) a request for the remedy of public injunctive relief; or, (iii) any individual claim of sexual assault or sexual harassment arising from your use of the Airbnb Platform or Host Services. You and Airbnb Payments agree that the remedy of public injunctive relief will proceed after the arbitration of all arbitrable claims, remedies, or causes of action, and will be stayed pending the outcome of the arbitration pursuant to section 3 of the Federal Arbitration Act.

15.6 Arbitration Rules and Governing Law. This Arbitration Agreement evidences a transaction in interstate commerce and the Federal Arbitration Act governs all substantive and procedural interpretation and enforcement of this provision. The arbitration will be administered by AAA in accordance with the Consumer Arbitration Rules and/or other AAA arbitration rules determined to be applicable by the arbitrator (the “AAA Rules”) then in effect, except as modified here. The AAA Rules are available at www.adr.org. In order to initiate arbitration, a completed written demand (available at www.adr.org) must be filed with the AAA and provided to the other party, as specified in the AAA rules.

15.7 Modification to AAA Rules - Arbitration Hearing/Location. In order to make the arbitration most convenient to you, Airbnb Payments agrees that any required arbitration hearing may be conducted, at your option: (a) in the U.S county where you reside; (b) in San Francisco County; or (c) via phone or video conference. If the amount in controversy is $5,000 or less, the parties agree to proceed solely on the submission of documents to the arbitrator.

15.8 Modification of AAA Rules - Attorney’s Fees and Costs. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Rules. Either party may make a request that the arbitrator award attorneys’ fees and costs upon proving that the other party has asserted a claim, cross-claim or defense that is groundless in fact or law, brought in bad faith or for the purpose of harassment, or is otherwise frivolous, as allowed by applicable law and the AAA Rules.

15.9 Arbitrator’s Decision. The arbitrator’s decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court with proper jurisdiction. The arbitrator may award any relief allowed by law or the AAA Rules, but declaratory or injunctive relief may be awarded only on an individual basis and only to the extent necessary to provide relief warranted by the claimant’s individual claim.

15.10 Jury Trial Waiver. You and Airbnb Payments acknowledge and agree that we are each waiving the right to a trial by jury as to all arbitrable Disputes.

15.11 No Class Actions or Representative Proceedings. You and Airbnb Payments acknowledge and agree that, to the fullest extent permitted by law, we are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, class- wide arbitration, private attorney general action, or any other representative or consolidated proceeding. Unless we agree in writing, the arbitrator may not consolidate more than one party’s claims and may not otherwise preside over any form of any class or representative proceeding. If there is a final judicial determination that applicable law precludes enforcement of the waiver contained in this paragraph as to any claim, cause of action or requested remedy, then that claim, cause of action or requested remedy, and only that claim, cause of action or requested remedy, will be severed from this agreement to arbitrate and will be brought in a court of competent jurisdiction. In the event that a claim, cause of action or requested remedy is severed pursuant to this paragraph, then you and we agree that the claims, causes of action or requested remedies that are not subject to arbitration will be stayed until all arbitrable claims, causes of action and requested remedies are resolved by the arbitrator.

15.12 Severability. Except as provided in Section 15.11, in the event that any portion of this Arbitration Agreement is deemed illegal or unenforceable, such provision shall be severed and the remainder of the Arbitration Agreement will be given full force and effect.

15.13 Changes to Agreement to Arbitrate. If Airbnb Payments changes this Section 15 after the date you last accepted these Payments Terms (or accepted any subsequent changes to these Payments Terms), you may reject that change by sending us written notice (including by email) within thirty (30) days of the date the change is effective. Rejecting a new change, however, does not revoke or alter your prior consent to any earlier agreements to arbitrate any Dispute between you and Airbnb Payments (or your prior consent to any subsequent changes thereto), which will remain in effect and enforceable as to any Dispute between you and Airbnb Payments.

15.14 Survival. Except as provided in Section 15.12 and subject to Section 13.7, this Section 15 will survive any termination of these Payments Terms and will continue to apply even if you stop using the Payment Services or terminate your Airbnb account.

16. Miscellaneous

16.1 Interpreting these Payments Terms. Except as they may be supplemented by additional terms and conditions, policies, guidelines, or standards, these Payments Terms constitute the entire agreement between Airbnb Payments and you regarding the subject matter hereof, and supersede any and all prior oral or written understandings or agreements between Airbnb Payments and you regarding the Payment Services. This clause does not exclude a party’s liability for prior false, misleading or deceptive statements or misrepresentations, whether oral or written. If any provision of these Payments Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

16.2 No Waiver. Subject to any limitation expressly stated in these Payments Terms or the Terms, or any document, policy or standard incorporated into them, Airbnb Payments’ or a Member’s failure to enforce any right or provision in these Payments Terms will not constitute a waiver of such right or provision unless acknowledged and agreed between the relevant parties in writing. Except as expressly set forth in these Payments Terms, the exercise by Airbnb Payments or a Member of any of its remedies under these Payments Terms will be without prejudice to its other remedies under these Payments Terms or otherwise permitted under law.

16.3 Assignment. You may not assign, transfer, or delegate this agreement or your rights and obligations hereunder without Airbnb Payments’ prior written consent (not to be unreasonably withheld or delayed). Airbnb Payments may without restriction assign, transfer, or delegate this agreement and any rights and obligations, at its sole discretion, with thirty (30) days’ prior notice (or two (2) months’ prior notice for Members contracting with Airbnb Payments UK).

16.4 Notices. Unless specified otherwise, any notices or other communications permitted or required under this agreement, will be in writing and given by Airbnb Payments via email or Airbnb Platform notification, and depending on your notification setting, messaging service (including SMS and WeChat). The date of receipt will be deemed the date on which Airbnb Payments transmits the notice.

17. Additional Clauses for Users Contracting with Airbnb Payments UK

The following paragraphs will apply if you are contracting with Airbnb Payments UK:

17.1 Payment Service User

17.1.1 The Payment Services include the payment collection service provided to Hosts contracting with Airbnb Payments UK. The payment collection service constitutes a “payment service” regulated under the Payment Services Regulations and for these purposes Airbnb Payments UK treats Hosts as the “payment service user.”

17.1.2 By agreeing to these Payments Terms you as a Host have consented to Airbnb Payments UK’s payment of each Payout to your chosen Payout Method. Hosts may change a Payout Method up to one (1) day before the time agreed for the Payout as set out in Section 3.3. Airbnb Payments UK will be deemed to have received the Host's payment order to the Host on the same date Airbnb Payments UK agrees to initiate the Payout in accordance with Section 3.3.

17.1.3 Airbnb Payments UK will endeavor to ensure that Hosts based in the UK will receive each Payout by the end of the business day following Airbnb Payments UK’s initiation of the Payout.

17.1.4 Communication. Airbnb Payments will provide the Host notice via email when we initiate each Payout. We will also provide notice to a Host’s registered email address if the Payout is returned to us because of an error. It is your responsibility as a Host to ensure that you provide us with a current, accurate, and valid email address.

17.2 Resolution Procedures for Diverted Payouts

17.2.1 If you as a Host believe that a Payout properly due to you has been or may be diverted without your permission (“Diverted Payout”) because your password or other credentials to log into your Airbnb account (“Credentials”) are lost or stolen, you should notify Airbnb Payments UK pursuant to Section 19 immediately. As a Host you may be liable for losses relating to any Diverted Payout arising from the use of lost, stolen, or misappropriated Credentials (including the loss of a mobile phone on which you have installed the Application) or where you have failed to keep your Credentials safe, up to a maximum of £35. Provided that you notify us of any Diverted Payout without delay and at the very latest within 13 months of the date of the payment, you may be entitled to a refund of that payment.

17.2.2 We will not be liable for any loss arising from: (i) Diverted Payouts where you acted fraudulently or where, with intent or gross negligence, you failed to use the Airbnb Platform and/or Payment Services in accordance with the Terms or these Payments Terms (including the obligation to keep your Credentials safe); (ii) or any payout transaction which we facilitated in accordance with information provided by you where the information you provided was incorrect.

17.2.3 If you as Host claim not to have received a Payout properly due to you via your chosen Payout Method, Airbnb Payments UK will (if requested) make immediate efforts to trace the payment and will notify you of the outcome. Unless we can prove that the payment was received by you via your chosen Payout Method, we will refund the amount.

17.2.4 Any complaints about the Payment Services should be made to Airbnb Payments UK pursuant to Section 19. Complaints that are made in accordance with this section that relate to the provision of Payment Services by Airbnb Payments UK will be eligible for referral to the Financial Ombudsman and will be subject to the Rules of the Financial Ombudsman Service. The UK Financial Ombudsman Service offers a free complaints resolution service to individuals, micro-enterprises, small charities, and trustees of small trusts. You can contact the UK Financial Ombudsman by (i) telephone from inside the UK: 0300 123 9123 or 0800 023 4567; from other countries: +44 20 7964 0500, on Monday to Friday, 8am to 8pm and on Saturday 9am to 1pm; (ii) post: Financial Ombudsman Service, Exchange Tower, London, E14 9SR; or (iii) email: enquiries@financial-ombudsman.org.uk. The UK Financial Ombudsman Service is also available in a number of different languages and if you need it you will be put in touch with a translator when you contact the UK Financial Ombudsman Service.

18. Additional Clauses for Users Contracting with Airbnb Brazil

The following paragraphs also apply if you are using the Payment Services as a representative (“Representative”) acting on behalf a business, company or other legal entity (in such event, for purposes of the Payments Terms, “you” and “your” will refer and apply to that business, company or other legal entity).

18.1 You accept the Payments Terms and you will be responsible for any act or omission of employees or third-party agents using the Payment Service on your behalf.

18.2 You and your Representative individually affirm that you are authorized to provide the information described in Section 2.1 and Section 3.2 and your Representative has the authority to bind you to these Payments Terms. We may require you to provide additional information or documentation demonstrating your Representative’s authority.

18.3 You represent and warrant to us that: (i) you are duly organized, validly existing and in good standing under the laws of the country in which your business is registered and that you are registering for receiving the Payment Services; and (ii) you have all requisite right, power, and authority to enter into this agreement, perform your obligations, and grant the rights, licenses, and authorizations in this agreement.

18.4 If you are using your Payment Method for the benefit of your employees or other authorized third-party in connection with Airbnb for Work, as permitted by your account, you authorize Airbnb Payments to charge your Payment Method for bookings requested by employees at your company or other permitted third-party.

18.5 For any Payout Method linked to your Airbnb account, you authorize Airbnb Payments to store the Payout Method, remit payments using the Payout Method for bookings associated with your Airbnb account and take any other action as permitted in the Payments Terms in respect of the Payout Method.

18.6 If you handle, store or otherwise process payment card information on behalf of anyone or any third-party, you agree to comply on an ongoing basis with applicable data privacy and security requirements under the current Payment Card Industry Data Security Standard with regards to the use, access, and storage of such credit card information.
